China has prohibited SoftBank's acquisition of ABB's Robotics business in the country, adding a major regulatory hurdle to the proposed divestment. ABB disclosed the decision on Thursday, November 5, and said the two companies remain in close dialogue.
In its update on the Robotics divestment, ABB said SoftBank had informed it that China's Office of the Working Mechanism for Foreign Investment Security Review had prohibited the acquisition of the ABB Robotics business in China. ABB did not announce that the overall transaction had been terminated.
Deal value remains in focus
ABB and SoftBank are working constructively on the transaction, according to ABB. The proposed sale, announced in October 2025, carries an enterprise value of USD 5.375 billion and remains subject to regulatory approvals and customary closing conditions. SoftBank manages the approval process.
The development leaves investors focused on whether the companies can restructure or otherwise advance the transaction despite the Chinese prohibition. ABB's Robotics division is part of the group's automation activities, while the sale would have changed the portfolio mix and generated a sizable divestment proceeds opportunity.
