Shareholder decision on Bagchi
HDFC Bank shareholders are voting on Anup Bagchi's appointment as a director and as managing director and chief executive officer. The proposed term runs from October 27, 2026, through October 26, 2029, subject to shareholder approval.
The bank's postal-ballot notice, published by FinancialFilings, says remote voting closes at 5:00 p.m. Indian Standard Time on Friday, November 6. Voting began on October 8, and eligible members were determined using the October 2 cutoff date.
Compensation remains part of vote
The resolution also asks members to approve Bagchi's remuneration framework, subject to applicable Reserve Bank of India approvals. The notice proposes annualized fixed pay of 897.44 million Indian rupees and target variable pay of 2.692 billion Indian rupees for the 2026-27 performance period.
The proposed total compensation is 3.590 billion Indian rupees, with variable pay capped at 300 percent of fixed pay. The package includes cash and share-linked instruments. A separate joining award comprises proposed restricted stock units and employee stock options, so the figures describe proposed terms rather than compensation already paid.
Next governance milestone
If the required majority approves the resolution, the appointment and compensation framework would clear the remaining shareholder condition. The postal-ballot result and scrutinizer's report are expected within two working days after voting ends.
