HDFC Bank shareholders are approaching the final deadline for a vote on Anup Bagchi's appointment as managing director and chief executive officer. The bank's postal-ballot notice, published by FinancialFilings on October 7, says remote voting closes at 5:00 p.m. Indian Standard Time on Friday, November 6, 2026.
Leadership approval remains outstanding
The resolution covers Bagchi's appointment as a director and as managing director and chief executive officer for a term running from October 27, 2026, through October 26, 2029. The appointment followed Reserve Bank of India approval on October 1 and a board decision taken the same day, but it remains subject to member approval.
Bagchi became an additional director on October 2 and took over as chief executive after Sashidhar Jagdishan's tenure ended on October 26. The proposed term is not subject to retirement by rotation.
Compensation is part of vote
Shareholders are also being asked to approve the proposed remuneration framework. The filing lists annualized fixed pay of 897.44 million Indian rupees and target variable pay of 2.692 billion Indian rupees for the 2026-27 performance period. Proposed total compensation is 3.590 billion Indian rupees, with variable pay capped at 300 percent of fixed pay and subject to applicable regulatory approvals.
The package includes cash and share-linked components. Proposed joining awards would be granted within 30 to 45 days after member approval and would vest over four years under the terms in the notice.
