Infracore SA communicates the decision of the Swiss Takeover Board

Publication pursuant to Article 61 para. 3 of the Swiss Takeover Ordinance:

Fribourg, 30 June 2026 Decision of the Swiss Takeover Board 943/01 dated 26 June 2026 concerning Infracore SA on the request of MPT Switzerland Holdings S.à r.l. regarding the finding of validity of a selective opting-out clause

On 26 June 2026, the Swiss Takeover Board decreed as follows: "1. It is established that the selective opting-out provision that Infracore SA intends to adopt prior to its listing on the SIX Swiss Exchange is valid and has effect under the law on public takeover offers. Infracore SA shall, where applicable, publish the position statement of its board of directors, the operative part of this decision, and an indication of the possibility for qualified shareholders to object to this decision, pursuant to Articles 6 and 7 TOO. This decision shall be published on the website of the Takeover Board after Infracore SA has made the publication provided for in item 2 of this operative part. MPT Switzerland Holdings S.à r.l. shall pay a fee of CHF 25,000." The Swiss Takeover Board having issued its decision in German, only the German text of this decision is binding. Objection (Art. 58 of the Swiss Takeover Ordinance; TOO) A shareholder with a holding of at least 3% of voting rights of Infracore SA, whether exercisable or not (a "qualified shareholder", Art. 56 TOO) and who has not yet participated in the proceeding may file an objection against the above-mentioned decision. The objection has to be filed with the Swiss Takeover Board within five trading days after the publication of the above-mentioned decision. The objection must contain a formal request and a summary of the legal grounds, as well as proof of the holding in accordance with Art. 56 para. 3 and 4 TOO (Art. 58 para. 3 TOO). Contact
