Intesa Sanpaolo has adjusted the share exchange ratio in its voluntary public tender and exchange offer for Banca Monte dei Paschi di Siena after approving an interim dividend. The bank's official press release, issued on Tuesday, November 3, 2026, raises the ratio to 1.664 newly issued Intesa Sanpaolo shares for each MPS share, from 1.600 previously.

The adjustment offsets the effect of the 22-euro-cent interim dividend, which is scheduled to detach on November 23 and be paid on November 25. The offer remains subject to the conditions and procedures set out in the offer documents, while Intesa Sanpaolo said it will continue to inform the market about developments.

Record earnings lift the outlook

In a separate Intesa Sanpaolo investor-relations release, the bank reported net income of 8.199 billion euros for the first nine months of 2026, up 8.1 percent from the comparable period. Third-quarter net income reached 2.645 billion euros.

Intesa Sanpaolo raised its 2026 net income outlook to well above 10 billion euros. Operating income rose 5 percent to 21.457 billion euros in the nine-month period, while operating costs declined 1.3 percent to 7.876 billion euros. The cost-to-income ratio improved to 36.7 percent.

Capital supports shareholder returns

The Common Equity Tier 1 ratio stood at 13.1 percent at September 30 after the amount accrued for distribution was deducted from capital. The company said 7.8 billion euros had been accrued for distribution in the first nine months, including 3.8 billion euros for the interim dividend, alongside a 2.3 billion euro buyback completed in October.

The results strengthen the financial backdrop for the MPS transaction and the planned shareholder distribution, but the offer's final outcome will depend on the formal offer process and market participation. For investors, the revised ratio links the dividend decision directly to the share-based consideration offered to MPS shareholders.
