Iveco has entered the next phase of Tata Motors' takeover after the Indian automaker completed settlement of the shares tendered during the initial acceptance period on Friday, October 30. The announcement was made jointly by Tata Motors and Iveco Group and was carried by Yahoo Finance.

TML CV Holdings B.V., a wholly owned subsidiary of Tata Motors, now holds 238,157,212 Iveco common shares. That represents 89.42% of Iveco's common share capital after treasury shares are excluded, making Iveco part of Tata Motors.

Minority offer reopens

The tender offer has reopened for five trading sessions from Monday, November 2, through Friday, November 6. Shareholders who accept during the reopened period will receive EUR 14.40 per share in cash, with settlement scheduled for November 13. Tata Motors has not yet detailed which post-offer route it will pursue for the remaining shares, including a possible voluntary purchase procedure, Dutch legal squeeze-out, or post-offer demerger and liquidation.

The ownership change also brings a new board structure. N. Chandrasekaran, chairman of Tata Sons, has become Iveco's chairperson and senior non-executive director. Olof Persson remains chief executive officer, while Tata Motors executives P. B. Balaji and Girish Wagh have joined the board as non-executive directors. Guenter Butschek and Charles Nichols remain independent directors.

The settlement also ended Iveco's special voting share structure. The company said all special voting shares outstanding immediately before settlement were repurchased for no consideration, leaving none outstanding.

Results move into focus

Alongside the ownership changes, Iveco brought forward its third-quarter 2026 financial results to Tuesday, November 3, from November 5. The report will give investors an early view of operating performance under the new ownership structure, although the takeover settlement itself does not provide a forecast for the quarter.

On Lang & Schwarz, Iveco stock traded at 14.38 euros at 10:07 CET on Monday, November 2. The quote is a live market indication and is not presented with a daily direction because a dated Xetra closing comparison was not established.

Investors can follow the real-time quote of Iveco stock while the reopened tender window is active. The combination of the remaining offer period and the imminent quarterly report leaves the share focused on both the cash bid and the group's operating performance.

Broader market context is available in current market reports.
