Iveco Group entered a new ownership phase during the week ended Saturday, November 7, after Tata Motors completed the first settlement stage of its tender offer. The company also released third-quarter results showing modest revenue growth but sharply weaker profitability. The results were published by GlobeNewswire on November 3.

Tata Motors takes control

The initial settlement gave Tata Motors approximately 89.42 percent of Iveco's common share capital, net of treasury shares. Iveco said the group had become part of Tata Motors, while a reopened acceptance period ran from November 2 through November 6. Settlement for shares tendered during that window is scheduled for November 13.

The transaction changes the strategic setting for Iveco's commercial-vehicle operations. Tata Motors now controls the group, while remaining shareholders face the next step in the tender process rather than a standalone ownership structure.

Revenue rises as margins weaken

For the third quarter ended September 30, Iveco reported consolidated revenue of 3.158 billion euros, up 1.4 percent from the year-earlier period. Adjusted EBIT fell to 30 million euros from 111 million euros, and adjusted net income turned to a loss of 32 million euros from income of 40 million euros.

Management attributed the pressure to continued quality initiatives, an unfavorable product mix, inflation and pricing effects. Industrial Activities adjusted EBIT was nil, while Truck revenue rose 4.5 percent to 2.099 billion euros and Bus revenue fell 5.6 percent to 679 million euros.

Management expects profitability to recover in the fourth quarter of 2026 and forecasts solid industrial free cash flow generation in the final quarter. That outlook leaves execution, product mix and demand for light commercial vehicles as key factors for investors to monitor.
