- Meta is using common stock and mandatory convertible preferred securities to finance its artificial intelligence expansion.
- The planned non-voting Class C program remains a later financing option with timing and terms still subject to decisions.
- Meta's latest quarter combined strong revenue growth with negative free cash flow and a lower operating margin.
Meta Platforms priced a USD 25.0 billion Class A common-stock offering and a concurrent USD 12.5 billion mandatory-convertible preferred offering on October 27, sharpening the financing picture behind its artificial intelligence expansion. The terms were disclosed in a Meta press release carried by KXAN.
New terms expand Meta's funding toolkit
The Class A offering covers 40 million shares at USD 625 each through forward sale agreements and was increased from the previously announced USD 22.5 billion size. The preferred transaction covers 250 million depositary shares at USD 50 each, representing interests in 6.50 percent Series A mandatory convertible preferred stock.
Both offerings were expected to close on October 29, subject to customary conditions. Meta said the preferred securities are designed to convert into Class A common stock around August 15, 2029, while the forward-sale agreements for the common stock are expected to settle by November 19, 2027. The proceeds are intended for general corporate purposes.
AI investment remains the central trade-off
The financing follows Meta's October 21 third-quarter report. Revenue rose 26 percent year over year to USD 64.60 billion, but total costs and expenses increased 68 percent to USD 51.61 billion. A USD 9.89 billion legal charge affected the quarter; excluding that item, diluted earnings per share would have been USD 7.40 rather than the reported USD 3.83.
Meta also reported negative free cash flow of USD 2.12 billion for the quarter and expects 2026 capital expenditures, including principal payments on finance leases, of USD 135 billion to USD 145 billion. Reuters, in a report published by The Business Standard, described the financing as part of Meta's effort to expand its AI infrastructure.
