- A Creative Investment Research study estimates annual economic, climate and public-health benefits of 4.2 billion to 5.8 billion US dollars.
- The US Surface Transportation Board ordered disclosure of a speech linked to alleged threats against merger opponents.
- The proposed transaction still faces scrutiny over public interest, market power and execution.
Norfolk Southern stock faced a fresh layer of merger scrutiny on Wednesday, November 4, after a new study assessed the proposed Union Pacific acquisition of the railroad. The analysis was released by Creative Investment Research through PR Newswire.
The study estimates that the proposed combination could generate 4.2 billion to 5.8 billion US dollars in annual economic, climate and public-health benefits. Its estimate includes 3.5 billion US dollars in shipper and logistics savings, 500 million to 1.6 billion US dollars in health benefits from lower diesel pollution, and 194 million to 722 million US dollars in climate benefits.
Benefits Depend On Execution
The analysis builds on company estimates that the merger could shift 2.1 million truckloads each year from highways to rail and reduce carbon dioxide emissions by nearly 3.8 million metric tons. Over a 10-year period, the study assigns a present value of 35.8 billion to 49.7 billion US dollars to the combined benefits, using a 3 percent discount rate.
Creative Investment Research said the public-health estimate could amount to about 94 avoided premature deaths annually, with a range of 47 to 141. The study also notes that more precise neighborhood-level conclusions would require route, terminal and emissions-exposure data.
For investors, the figures describe potential benefits rather than completed savings. The transaction would need to deliver the projected freight shifts, cost reductions and environmental gains after approval and implementation. That leaves execution and the regulatory process as key variables for the investment case.
Regulatory Review Gains Attention
A separate report by MLex on Thursday, November 5, said the US Surface Transportation Board rejected Union Pacific's attempt to keep a speech by Chief Executive Officer Jim Vena secret. The report said the speech allegedly included threats to raise rates for shippers opposing the acquisition.
The board said evidence of actual or threatened retaliation could be relevant to its assessment of public interest, market power and possible abuse of market power. The disclosure adds a regulatory-risk angle to a deal whose potential financial benefits are being emphasized by supporters.
