TD Bank stock faces a fresh compliance overhang after an Ontario court certified an investor class action over alleged weaknesses in the bank's anti-money-laundering program. The Ontario Superior Court made the decision on November 3, 2026, according to a PR Newswire release from the plaintiffs' law firm.
Ontario Court Opens AML Class Action
The action names TD and several current and former senior leaders, including former chief executive Bharat Masrani. Plaintiffs allege that statements made between December 1, 2021, and October 10, 2024, concealed longstanding deficiencies in TD's AML controls and prioritized profits over regulatory compliance.
The court also granted the plaintiffs leave to proceed under Ontario's Securities Act and certified common issues concerning aggregate damages. The release says the allegations relate to TD's U.S. subsidiaries pleading guilty to money-laundering conspiracy charges and to more than US$3 billion in penalties imposed by U.S. authorities. The defendants deny the allegations, and the court has not ruled on the merits.
Legal Risk Meets U.S. Expansion
The litigation adds another compliance issue to TD's effort to expand its U.S. retail banking footprint. The bank plans to add 100 branches by the end of 2028, subject to regulatory approval, making remediation progress and supervisory confidence important factors for investors.
