- Teva completed the acquisition of BioXcel Therapeutics neuroscience assets through a court-supervised sale.
- BXCL501 remains under FDA review for potential at-home treatment of acute agitation in adults with schizophrenia or bipolar disorder.
- The regulatory decision will determine whether Teva can extend the product beyond its existing hospital-use setting.
Teva Pharmaceutical Industries Ltd. said on October 27, 2026, that it had completed the acquisition of neuroscience assets from BioXcel Therapeutics, including worldwide rights to BXCL501. The company paid 57.5 million US dollars upfront for the assets, according to Teva's press release.
A late-stage regulatory opportunity
BXCL501 is an investigational dexmedetomidine sublingual film under US Food and Drug Administration review for potential at-home treatment of acute agitation associated with schizophrenia or bipolar I or II disorder in adults. If approved, Teva said the product could become the first FDA-approved treatment patients could use at home for this condition.
The acquired assets also include worldwide rights to IGALMI, an FDA-approved dexmedetomidine sublingual film used for the treatment of agitation in a hospital setting. Teva did not acquire BioXcel Therapeutics itself; the transaction covered selected neuroscience assets sold through a court-supervised process under Section 363 of the US Bankruptcy Code.
Milestones remain ahead
Teva could owe up to 67.5 million US dollars in contingent payments. The company said these payments are linked to the timing of regulatory approval, potential delays and specified sales milestones.
The transaction broadens Teva's neuroscience pipeline but does not yet establish commercial revenue from BXCL501. The investment case therefore remains tied to the FDA review, the product's eventual label and Teva's ability to commercialize the asset if approval is granted.
