UniCredit faces a governance transition after Chairman Pier Carlo Padoan said on Wednesday, October 28, that he will leave at the end of his current term for personal reasons. The announcement starts a succession process at Italy's second-largest bank as its board prepares for renewal in 2027.
According to ANSA, Padoan will work with Jeffrey Hedberg, head of UniCredit's Nomination Committee, to identify a successor and support an orderly handover. Chief Executive Andrea Orcel thanked Padoan for his leadership, while the bank said its strategic priorities remain in focus during the transition.
Shareholder role remains open
The governance discussion widened on Friday, October 30, when Cariverona Chairman Bruno Giordano said the foundation was assessing how it could contribute to UniCredit's next governance structure. Il Sole 24 Ore reported that the long-standing shareholder is considering its options independently, with governance quality, bank stability and long-term value creation as priorities.
Cariverona holds a stake of approximately 0.7 percent, according to the report. Giordano did not commit the foundation to a candidate list, leaving the shape of the next board structure unresolved.
Investors await succession details
The immediate investor focus is the process rather than a named successor. Padoan's departure is scheduled for the end of his term, while the board and management continue to emphasize strategic continuity. The nomination process and the next shareholder vote will determine whether that continuity is maintained at the top of the group.
