- Fiscal 2026 revenue rose, while diluted earnings per share declined amid merger and enterprise software costs.
- The proposed Cintas transaction remains subject to regulatory approvals and an FTC timing agreement.
- Investors now face a deal-driven outlook because UniFirst has suspended financial guidance and quarterly conference calls.
UniFirst reported stronger sales but lower profitability for fiscal 2026, while the proposed Cintas merger remained subject to regulatory review. The results were released on Wednesday, October 21, for the fiscal year ended August 29, 2026.
Revenue growth meets lower earnings
According to StockTitan, UniFirst generated fiscal 2026 revenue of 2.523 billion US dollars, up 3.7 percent from the prior year. Net income fell to 109.5 million US dollars from 148.3 million, while diluted earnings per share declined to 6.02 US dollars from 7.98 US dollars.
Fourth-quarter revenue increased 5.0 percent to 645.0 million US dollars. Quarterly diluted earnings per share fell to 1.90 US dollars from 2.23 US dollars, and operating margin narrowed to 6.5 percent from 8.1 percent.
Merger timetable stays central
UniFirst and Cintas certified substantial compliance with the Federal Trade Commission's Second Request on October 2. Their timing agreement prevents completion before December 11, 2026, unless the FTC gives earlier written notice that its investigation has closed. The transaction is still expected to close before the end of calendar 2026, subject to regulatory approvals and other closing conditions.
Fiscal 2026 results included 37.2 million US dollars of transaction-related costs and 13.3 million US dollars of enterprise software project costs. UniFirst said it is no longer providing financial guidance or hosting quarterly conference calls because of the pending transaction.
