- Barnwell plans to sell its Canadian oil and natural gas business while retaining a royalty interest in future drilling.
- Shareholder approval, a pre-closing reorganization and regulatory clearances are still required before completion.
- The proposed transaction follows the sale of Barnwell's remaining Hawaii development interests and a planned pension-plan termination.
Barnwell Industries has agreed to sell its Canadian oil and natural gas business to an Alberta corporation for a base purchase price of C$9 million. The announcement, released on October 6, 2026, marks another step in the company's planned portfolio restructuring, according to an ACCESS Newswire report carried by Fidelity.
Sale preserves future royalty exposure
The proposed consideration consists of C$4 million in cash and a 5% gross overriding royalty valued at C$5 million for transaction purposes. An affiliate of the buyer may later purchase the royalty for C$5 million, while Barnwell would retain royalty payments received before any exercise of that option.
The buyer has placed a C$1 million deposit in escrow. Barnwell would retain excess cash and near-cash assets outside the sale, while the buyer would assume future site restoration and abandonment obligations associated with the Canadian business, subject to Barnwell's contractual indemnification obligations.
Conditions keep completion uncertain
The agreement still requires approval by holders of a majority of Barnwell's outstanding common shares, completion of a pre-closing reorganization, required governmental approvals and other customary conditions. The announcement states that there can be no assurance that the transaction will close or when completion would occur.
Barnwell also said it had completed the sale of its remaining Hawaii development interests in September and separately planned to terminate its defined benefit pension plan. Management said the actions are intended to simplify the company, reduce legacy obligations and create greater flexibility for future strategic investments, acquisitions and business combinations.
Business remains energy focused
Barnwell Industries, headquartered in Houston, Texas, operates in energy and related assets. Its current strategic focus is capital allocation and repositioning following the planned divestment of the Canadian business and the completed Hawaii asset sale. The company is therefore moving from operating-asset ownership toward a more selective approach to energy and related opportunities.
