- Shareholders will vote on November 13 on a partial spin-off and subsequent merger involving Parnaiba II.
- The transaction would place 845.5 megawatts of thermal capacity directly under Eneva.
- Regulatory approval from Brazil's Aneel remains necessary before the restructuring can be completed.
Eneva has called a shareholder meeting for Friday, November 13, to vote on a restructuring that would bring the Parnaiba II power assets directly under the company. The proposal involves a partial spin-off of Eneva Participacoes III followed by the full merger of Parnaiba II Geracao de Energia, according to El Fondo.
Asset Integration Awaits Approval
Parnaiba II holds 845.5 megawatts of installed thermal capacity in Maranhao. The proposed structure is intended to give Eneva direct ownership of the assets while simplifying the corporate structure and reducing operational, administrative and tax costs.
The company said Parnaiba II generated revenue of 1.23 billion Brazilian reais and net income of 334.5 million Brazilian reais in 2025. Those figures relate to the power unit rather than to Eneva's consolidated results.
Completion depends on approval from Brazil's electricity regulator Aneel for the transfer of authorization permits covering UTE Maranhao III, UTE MC2 Nova Venecia 2 and UTE Parnaiba IV. The implementation cost is estimated at approximately 1.17 million Brazilian reais.
Minority Shareholder Terms
Eneva said minority shareholders would not receive withdrawal rights because the transaction includes no share exchange ratio and does not create a loss for non-controlling investors. The November 13 meeting is therefore the next formal decision point for the proposed integration.
