- JG Summit plans to move nearly 37.1 billion Oriental Petroleum shares from its wholly owned subsidiary to the listed parent.
- The transaction is intended to streamline ownership, while the final consideration depends on Oriental Petroleum's 30-day volume-weighted average price.
JG Summit Holdings plans to consolidate its ownership of Oriental Petroleum and Minerals Corp. at the listed parent level through the transfer of nearly 37.1 billion shares from a wholly owned subsidiary. Context.ph reported the plan on October 23, 2026, citing a board approval dated October 22.
Ownership transfer awaits pricing
The proposed cross-block sale covers 8.4 billion A shares reserved for Filipino investors and 28.66 billion B shares held by JG Summit Capital Services Corp. The transfer was targeted for completion on October 26, subject to applicable laws, regulatory requirements and the approved transaction terms.
JG Summit said the price per share would be based on Oriental Petroleum's 30-day volume-weighted average price through the close of trading on October 23. The aggregate consideration was therefore not fixed in the announcement. The internal transfer is designed to place the investment directly under JG Summit and does not by itself signal a change in the group's overall economic exposure to Oriental Petroleum.
