- Nathan's Famous is now a wholly owned subsidiary of Smithfield Foods.
- The company requested Nasdaq suspension and plans to end its reporting obligations.
- The existing credit agreement was terminated and outstanding obligations were paid in full.
Nathan's Famous completed its merger with Smithfield Foods on October 26, 2026, creating a new ownership structure for the hot-dog brand. The transaction and its consequences were disclosed in the company's Form 8-K, as reproduced in the SEC filing published by StockTitan.
Cash consideration and new ownership
At the effective time of the merger, each eligible outstanding common share was canceled and converted into the right to receive USD 102.00 in cash, without interest and subject to applicable withholding tax. Shares held by investors who properly exercised appraisal rights were excluded from that conversion.
Nathan's Famous survived the transaction as a wholly owned subsidiary of Smithfield Foods. The merger therefore ended the company's status as an independently controlled public company, while the filing stated that the company would continue as the surviving legal entity.
Nasdaq status and reporting plans
Nathan's Famous notified Nasdaq that the merger had closed and requested suspension of trading in its common stock. It also asked Nasdaq to file a Form 25 to remove the shares from listing and registration, and said it intended to file Form 15 to terminate the stock's registration under the Exchange Act and suspend its reporting obligations.
The closing also ended the company's credit agreement dated July 10, 2024. The filing states that outstanding principal, interest and fees were paid in full and that related guarantees were released and terminated.
Governance changes after closing
All directors serving immediately before the effective time ceased to be directors. C. Shane Smith, previously the sole director of the merger subsidiary, became the sole director of the surviving corporation. The company's certificate of incorporation and bylaws were also amended and restated in connection with the transaction.
