Nedbank stock is in focus after the South African lender completed its strategic expansion through Kenya-based NCBA. The subsidiary will keep its local identity.

Expansion through East Africa

  • Nedbank has made NCBA its subsidiary while the Kenyan bank remains listed in Nairobi.
  • NCBA will retain its brand, headquarters, local management and customer-facing operations.
  • The transaction gives Nedbank access to banking operations across several East African markets.

Nedbank has completed its acquisition of a controlling stake in Kenya-based NCBA, giving the South African lender a broader platform in East Africa. BusinessDay NG reported the transaction on October 29, citing a value of about 13.9 billion rand based on a Nedbank share price of 250 rand at the time of the transaction.

The deal makes NCBA a subsidiary of Nedbank while leaving the Kenyan bank listed on the Nairobi Securities Exchange. Public investors retain the remaining 34 percent of NCBA, according to the report.

A regional banking platform

The acquisition gives Nedbank access to NCBA's operations in Kenya, Uganda, Tanzania, Rwanda and Ivory Coast, as well as its digital lending business in Ghana. That broadens Nedbank's geographic reach beyond its established Southern African markets without requiring the group to build a new regional operation from scratch.

BusinessDay reported that shareholders tendered 1.316 billion NCBA shares during the offer period, representing 79.9 percent of the issued capital. Because this exceeded Nedbank's targeted holding, acceptances were scaled back proportionately. The consideration consists of cash and newly issued Nedbank shares.

Local operations to remain

NCBA is expected to retain its name, Nairobi headquarters, local leadership and customer-facing business model. Its branches, digital channels, products and services are also expected to continue operating as before, according to the report.

The transfer of the shares and settlement of payments are scheduled to begin on November 3. NCBA shares were scheduled to remain suspended through November 2 while the share register was reconciled.

At 23:00:20 Berlin time on October 29, the Lang & Schwarz quote for Nedbank was 15.90 euros. The available quote is a dated market snapshot; no verified Xetra comparison is included here. Investors should distinguish the completed transaction from the later settlement timetable.
