- Petronas Gas moved the first-phase gas transportation transfer to March 1, 2027.
- The deadline for conditions precedent was extended to April 30, 2027.
- Gas processing and utilities are being placed in dedicated subsidiaries under the proposed structure.
Petronas Gas has pushed back the first-phase transfer of its gas transportation business to March 1, 2027, from July 1, 2026. The Malaysian Reserve reported the timetable change on November 2, citing a Bursa Malaysia filing.
Transportation transfer remains pending
Petronas Gas and the relevant parties agreed on October 31 to amend three business transfer agreements. The cut-off date for the gas transportation agreement will move to February 28, 2027, while the deadline for fulfilling conditions precedent has been extended to April 30, 2027.
The company did not give reasons for the amendments or provide a revised completion date for the overall reorganization. The timetable change leaves the gas transportation transfer subject to further conditions and future announcements.
Two operating units transferred
The proposed structure places the gas transportation business in PG TransCo Sdn Bhd, the gas processing business in PG Gas Processing Sdn Bhd and the utilities business in PG Utilities East Sdn Bhd. Petronas Gas said the reorganization is intended to distinguish regulated and non-regulated operations, improve segment transparency and give the businesses greater flexibility to raise capital according to their needs and risk profiles.
The gas processing and utilities transfers were scheduled to use October 31, 2026, as their revised cut-off date. The transfers are structured around the net book values of the respective businesses, with consideration to be satisfied through ordinary shares and/or redeemable preference shares within the group.
What investors should watch
Investors will look for progress on the remaining conditions and any further disclosure on the financial or reporting effects of the restructuring. The next stated milestone is the planned gas transportation transfer in March 2027, followed by the conditions-precedent deadline in April.
