Shareholders of Brazil's Raizen approved measures on October 30 to implement the company's out-of-court restructuring plan, according to a Reuters report published by LSE. The decision advances a restructuring that could reshape the group's capital structure and business portfolio.
Capital Increase Awaits Board Review
Raizen's board was scheduled to meet on November 6 to consider a capital increase ranging from 3.5 billion to 39.8 billion Brazilian reais. The wide range reflects the different financing elements included in the restructuring package, including potential contributions and debt conversion.
The plan also covers roughly 65 billion Brazilian reais of debt. Creditors are expected to play a substantially larger role in the ownership structure after parts of their claims are converted into equity.
Fuel And Energy Businesses Separate
The proposed reorganization would create Raizen Energia as a separate company focused on sugar, ethanol and bioenergy production. The remaining Raizen business would concentrate on fuel distribution, including operations under the Shell brand.
The company also said it would begin preparatory work for a competitive process to evaluate a potential investment in the fuel distribution business. A secondary public offering was cited as one possible option, although the final structure remains subject to further corporate steps.
