- Shandong Gold plans a share repurchase that would cancel the acquired shares and reduce registered capital.
- The proposed Hong Kong treasury company would centralize overseas funds and remains a related-party transaction.
- The company is due to report its results for the third quarter of 2026 after the recent production guidance cut.
Shandong Gold has approved a plan to repurchase between CNY 300 million and CNY 400 million of its A-shares while separately investing CNY 400 million in a planned Hong Kong treasury-management company, according to Mining.com.au in a report published on Saturday, October 17, 2026.
Buyback would reduce registered capital
The proposed repurchase would use centralized bidding on the Shanghai Stock Exchange at no more than CNY 48.57 per share. Shandong Gold plans to cancel the repurchased shares, reducing registered capital, while the program remains subject to shareholder approval and would run for 12 months after approval.
The maximum plan would cover between 6.18 million and 8.24 million shares, equal to roughly 0.13 percent to 0.18 percent of issued capital. The company said the buyback reflects confidence in its development outlook and is intended to support shareholder interests and investment value.
Hong Kong venture targets cash management
Shandong Gold Mining Hong Kong, a wholly owned subsidiary, would contribute CNY 400 million for a 40 percent stake in the proposed treasury company. Yacheng Investment, a wholly owned subsidiary of controlling shareholder Shandong Gold Group, would provide CNY 600 million for the remaining 60 percent.
The CNY 1 billion venture is a related-party transaction but does not constitute a major asset restructuring under Chinese regulations. Its proposed role is to manage overseas funds rather than conduct external commercial operations, giving the plan a financial-management focus rather than adding a new mining operation.
