SUNation Energy extended a revolving credit line from an affiliate controlled by its chief executive and chief financial officer, according to a Melville Chamber of Commerce report. The company board approved the amendment on October 15, 2026, the day the facility was due to mature. The report was published on October 16.
The lender is MBB Energy LLC, which the filing identifies as an affiliate and related party controlled by SUNation founder and CEO Scott Maskin and CFO James Brennan. The facility has an aggregate capacity of USD 1.5 million, and borrowings carry annual interest of 8 percent payable monthly. The amendment extends the maturity date to April 15, 2027, unless the facility is repaid, amended or terminated earlier.
Funding remains a key issue
The credit line was originally established in 2025 at a lower capacity. The April 2026 amendment increased the limit and previously extended the maturity date. As of June 30, SUNation had drawn USD 800,000, the Chamber report said, citing the company’s second-quarter filing.
The same filing showed second-quarter sales of USD 8.16 million, compared with USD 13.06 million in the year-earlier quarter. SUNation reported a net loss of USD 7.43 million for the first six months of 2026, while cash and cash equivalents stood at USD 3.06 million at June 30, down from USD 7.18 million at the end of 2025. The filing also stated that substantial doubt existed about the company’s ability to continue as a going concern.
Merger terms remain material
SUNation agreed in June to combine with Suniva, a Georgia-based solar cell manufacturer. Under the described transaction terms, existing Suniva shareholders would own about 98.2 percent of the combined company and existing SUNation shareholders about 1.8 percent. Suniva would also provide about USD 3.75 million at closing to retire SUNation’s secured long-term debt.
An amendment signed in September changed the required net cash condition at closing to negative USD 2.5 million from negative USD 1.5 million and added a proposal to increase authorized shares to 1.5 billion from 1 billion. The transaction and related share proposals are due to be considered at a special shareholder meeting; no meeting date was identified in the reviewed report.
