Ams Osram’s €1B Bond Refinancing Secures €40M Annual Interest Relief as Sensor Sale Awaits Ruling

Ams Osram is set to slash its annual interest burden by roughly €40 million after pricing a €1 billion senior note that drew deeply oversubscribed demand. The seven-year bond, carrying a 7.25% coupon and maturing in May 2032, will be issued on June 1 and is the centrepiece of the company’s push to cut financing costs and achieve a positive free cash flow by 2027.
The semiconductor group’s shares have pulled back from their recent highs, trading around €21.50–€21.70 on Friday, down about 2–3% on the day. That retreat comes after a blistering start to the year that still leaves the stock up roughly 153–155% — a rally that has nonetheless widened the gap to the 50-day moving average by more than 47%.
Proceeds from the new note will be used to redeem much more expensive debt, including a US dollar tranche at 12.25% and a portion of a euro note at 10.50%. The refinancing is a critical step in a broader balance-sheet overhaul that management hopes will steadily reduce leverage without forcing further asset disposals.

Alongside the capital-markets exercise, the planned €570 million sale of Ams Osram’s non-optical sensor business to Infineon is entering its final regulatory stage. A decision from Germany’s Federal Cartel Office is expected within the current quarter. If cleared, the deal would cut the company’s net leverage ratio from 3.3 times to around 2.5 times and transfer about 230 research and development staff to the buyer. A multi-year supply agreement will maintain operational links after the sale.
The restructuring timetable also intersects with corporate governance deadlines. Shareholders who want to vote at the annual general meeting scheduled for June 10 in Premstätten must have their holdings recorded by May 31. The AGM agenda includes the election of two new supervisory board members and approval of strategic refocusing measures.
On the operational front, the core semiconductor portfolio expanded by 9% in the latest period, with management highlighting growth opportunities in AI-powered smart glasses and optical interconnects for data centres. A new development pact in AI Photonics for hyperscale computing further underscores the company’s pivot toward digital photonics.
JP Morgan recently upgraded the stock to “Overweight” and raised its price target to 23.60 Swiss francs, citing potential in optical connectivity and microLED applications. For the full 2026 financial year, Ams Osram is targeting a free cash flow of more than €300 million — a milestone that would mark a decisive step toward the sustainable cash-generation profile it has promised investors.
