The catalyst is a double-barreled shift: a landmark US Supreme Court ruling that sharply reduces the company's glyphosate litigation risk, and a €3 billion capital injection from a minority stake sale in its long-term contraception business. Yet as the shares hover around €49.50–49.80, technical indicators warn that the rally may be running ahead of itself.

Moody’s responded to the legal development by lifting its outlook for Bayer from “negative” to “stable” while affirming the BAA2 long-term rating. The agency specifically cited the Supreme Court’s decision in the “Durnell” case, which strengthens the principle of federal preemption — meaning federal law can override state-level warning requirements. That ruling significantly improves Bayer’s hand in defending against the thousands of pending Roundup lawsuits. S&P has not followed suit, keeping its outlook at “negative” with a BBB rating.

Alongside the legal relief, Bayer is reshaping its balance sheet. The sale of a minority stake in its long-term contraception unit — home to brands such as Mirena, Kyleena and Jaydess — to Apollo Global Management will bring in roughly €3 billion. The business generated about €1.4 billion in sales in 2025. Bayer retains operational control and a majority stake in the new entity. The company is also spending up to $2.45 billion to acquire Perfuse Therapeutics, bolstering its ophthalmology pipeline to offset future patent expirations on core drugs.

Jefferies’ Michael Leuchten is more cautious, keeping a “hold” rating and €46 target, arguing that further balance-sheet strengthening is needed before a potential breakup becomes realistic.

Technically, the stock has entered overbought territory. The relative strength index sits near 68, and the share price trades about 31% above its 200-day moving average of €37.79. The 52-week high of €53.86, reached on July 3, is roughly 7.6% above current levels. Such stretched readings often precede short-term pullbacks — and indeed, the stock has already slipped from its early?July peak, declining about 0.8% on Monday alone.

Bayer’s 30-day return of 37.3% dwarfs every other DAX heavyweight. The next closest is Qiagen with 14.1%, followed by MTU Aero Engines (13.9%), Beiersdorf (12.1%) and Munich Re (11.0%). All five share a common thread: they are emerging from prolonged periods of undervaluation or legal/operational overhangs. But Bayer’s move stands apart in both magnitude and velocity — a reflection of how much litigation risk had been baked into its share price before the Supreme Court decision.

The next reality check comes on August 4, when Bayer reports second-quarter results. Investors will be watching closely to see whether operational momentum in Crop Science and Pharmaceuticals can cover the hefty interest burden. For now, the stock’s fate hinges on two things: the final outcome of the settlement process and whether the technical overbought condition resolves through time or a sharper correction.
