The extended deadline for UniCredit’s exchange offer expired at the end of last week, and early signs point to a decisive victory for the Italian lender. According to Italian daily Milano Finanza, acceptance rates hit roughly 15% in the final stretch, pushing UniCredit’s total position – including shares already held directly and via options – to north of 58%. That would mark a significant jump from market estimates of around 42% before the deadline. The rally in UniCredit’s own stock provided the spark, lifting the implied premium of the offer to over 5% and making the swap far more compelling for Commerzbank shareholders.

Commerzbank management, led by chief executive Bettina Orlopp, has fought the bid every step of the way. In an open letter issued just before the deadline closed, Orlopp urged shareholders to reject the offer, a stance that earned her the moniker “Jeanne d’Arc of Commerzbank” from German business daily Handelsblatt. The board has consistently argued that the offer undervalues the bank and that its independent strategy is the better bet for long-term value creation.

That strategy, dubbed “Momentum 2030”, lays out ambitious targets that rely on cost discipline and artificial intelligence rather than a change of ownership. By 2028, Commerzbank aims to push its return on tangible equity to 17% and net profit to €4.6 billion. By the end of the decade, management sees RoTE climbing to roughly 21% and net profit reaching nearly €6 billion. The gap to today’s numbers is substantial – in the first quarter of 2026, RoTE stood at just 12.7%.

The market, meanwhile, is taking the situation in stride. Commerzbank shares closed Friday at €37.79, virtually flat on the day. The stock has advanced nearly 3.5% year-to-date and roughly 34% over the past twelve months. It sits just 2.7% below its 52-week high of €38.85 (reached on 19 June), while trading a full 35% above its 52-week low of €27.99 from early July 2025. Technical indicators show the equity remains comfortably above its 50-, 100-, and 200-day moving averages, with the relative strength index suggesting it is not yet overbought.

Despite the likely acceptance haul, a swift integration is not expected. Analyst Dieter Hein of fairesearch argues that UniCredit will proceed tactically, because a full consolidation would weigh on its capital ratio in the short term. Instead, the Italian bank is expected to bide its time until the German government sells its remaining stake – a block that remains the key to a complete takeover.

The official tally will be unveiled on Wednesday, 8 July. If the current estimates hold, UniCredit will secure de facto voting control ahead of the next annual general meeting, giving it the power to shape the composition of the supervisory board. Commerzbank will get its next chance to prove the viability of its solo path on 6 August, when second-quarter earnings will test whether the Momentum 2030 plan can deliver on the ground.
