While fending off UniCredit’s creeping takeover bid, the Frankfurt-based lender has quietly begun deploying artificial intelligence tools across its workforce — a move that underscores the bank’s determination to chart its own course. The combination of technological investment and political resistance is giving investors reason to hold their nerve, even as the takeover saga drags on.

The formal results of UniCredit’s offer, which closed on July 3, showed that only 17.6 percent of Commerzbank shares were tendered. Crucially, the vast majority of those came from the Italian bank’s existing derivatives positions, with independent institutional and retail investors accounting for less than two percent. Commerzbank’s management quickly seized on the figure as evidence that shareholders find the offer unattractive, reiterating their recommendation to reject it. UniCredit, however, still holds additional stakes via financial instruments, making the total position murky — and keeping the outcome far from settled.

Berlin remains the biggest wild card. As the second-largest shareholder, the German government has refused to sell its stake, judging both the price and the Italian bank’s approach as unsuitable. That political firewall prevents UniCredit from assuming de facto control, at least for now. The Milan-based lender itself expects no final resolution before 2027, with multiple regulatory approvals still required from Brussels and Rome.

Management framed the rollout as a concrete efficiency play that could give the bank a lasting edge in European competition.

The market has taken note. Shares edged up 1.61 percent to €37.89 on the AI news, nudging the bank’s market capitalisation past €41 billion. The stock is now trading well above its 200-day moving average and within striking distance of its 52-week high of €38.85. Over the past twelve months, Commerzbank has gained nearly 26 percent, a rally that management points to as validation of its independence thesis.

Yet the unresolved takeover battle casts a shadow. Commerzbank has warned about a surge in securities lending in its stock, raising questions about whether the acceptance figures tell the full story. A negative ruling from regulators or a sudden shift in Berlin’s stance could trigger profit-taking. For now, the 50-day moving average at €36.82 offers technical support should a correction materialise.

The next major catalyst arrives on August 6, 2026, when Commerzbank reports second-quarter earnings. A strong operational performance would bolster management’s hand in the defence against UniCredit and reinforce confidence in the digital overhaul. Until then, the standoff continues — with the bank betting that modernisation, not a foreign buyer, will deliver the best returns for shareholders.
