The transformation of Deutz from a traditional engine builder into a diversified defence supplier has entered a decisive phase. On 9 July 2026, the Cologne-based company announced the full acquisition of FFG Flensburger Fahrzeugbau Gesellschaft for roughly €1.6 billion, a deal that will also usher in a new anchor shareholder and require approval from existing owners at an extraordinary general meeting scheduled for 24 August. Just two days before the announcement, the first GEREON unmanned ground vehicle rolled off the production line in Ulm, giving the strategy an operational foothold before investors were asked to back the larger financial commitment.

The purchase price breaks down into €1 billion in cash and debt financing, while the remaining €600 million will be covered by issuing new Deutz shares to FFG’s selling families. Those families are set to become anchor investors with a potential stake of up to 29.9 percent in the enlarged capital — a shift in ownership structure that has kept some shareholders cautious. The deal is also subject to regulatory clearance, adding another layer of uncertainty before the integration can proceed.

FFG, which booked revenue of around €760 million in 2025, is intended to form the core of Deutz’s new defence division. Management has said the acquisition will help the group reach its 2030 targets of €4 billion in sales and a 10 percent EBIT margin earlier than originally planned. The defence pivot already has momentum: Deutz now supplies mobility and energy solutions to roughly 60 armed forces, including 14 NATO countries, and the GEREON programme with partner ARX Robotics is now in series production.

Should investors sell immediately? Or is it worth buying Deutz AG?

The operational backdrop supports the expansion. On 5 July, Deutz reported first-quarter 2026 order intake of €771 million, a 41.2 percent jump from the prior year, while the adjusted EBIT margin improved to 7.0 percent. Analysts have responded positively to the strategic shift. Warburg Research raised its price target to €13.20 on 10 July, reiterating a buy rating. ODDO BHF stuck with a €12.50 target and Kepler Cheuvreux followed on 15 July with a €12.00 target, both maintaining buy calls. BlackRock also signalled confidence by nudging its voting rights stake from 3.80 to 3.81 percent on 13 July.

Despite the upbeat analyst reaction, the stock has struggled to break out. Shares recently traded at €9.29, a small loss on the day, and remain about 26 percent below the 52-week high of €12.49 reached in late February. The paper has gained roughly 9 percent since the start of the year, but the sideways movement suggests many investors are waiting for clarity on the capital increase and the new shareholder structure. Two upcoming dates will test the narrative: the half-year report on 6 August and the shareholder vote on 24 August, both likely to determine whether the market fully buys into Deutz’s reincarnation as a defence and mobility powerhouse.
