European Lithium is rewriting the playbook for its planned combination with Critical Metals Corp, scrapping a complex depositary structure in favour of direct equity and handing small shareholders an off-ramp to take cash rather than roll into the merged entity. The moves come as the stock trades near €0.23, nursing a roughly 6% weekly decline — but still sitting on a staggering 12-month gain of 537%.

The original plan had called for the issuance of Chess Depositary Interests, a type of depositary receipt that would have introduced an extra layer of complexity for investors. That structure has been abandoned. Instead, qualifying shareholders will receive ordinary shares in the combined company, which is expected to list on the Nasdaq. For holders of 50,000 shares or fewer, the company has prepared a cash alternative: they can accept a buyout now and skip the conversion into new shares entirely. The move is designed to streamline the shareholder register ahead of the merger’s completion and provide near-term liquidity for smaller investors who may not wish to hold the post-combination stock.

The formal merger document is scheduled to be dispatched at the end of July or the beginning of August 2026, with a shareholder vote following shortly after. Subject to regulatory approvals, the transaction is expected to close in September 2026. Upon completion, European Lithium’s current owners will control approximately 41% of the enlarged group.

At Tanbreez, infrastructure work is due to wrap up in August, after which exploration drilling for terbium and dysprosium will begin. At Wolfsberg, a final investment decision is pencilled in for the end of 2026 — but that hinges on a sustained recovery in lithium prices and the successful assembly of project financing. Currently, the market is under pressure: lithium futures traded in Guangzhou have fallen roughly 10% month-on-month.

Despite those headwinds, European Lithium’s stock has delivered extraordinary returns. Year-to-date the share price has climbed 151.6%, and over the past twelve months the gain stands at 537.2%. The Relative Strength Index sits around 44, a reading that points to a neutral market phase after the recent pullback.

The next milestone will come when the merger documents are mailed out in a few months. If shareholders approve the plan, the new structure will take effect by the end of the third quarter of 2026, giving the company a clean balance sheet and a simplified equity base to pursue its dual-track development strategy in Austria and Greenland.
