The countdown to European Lithium's tie-up with Critical Metals Corp. is accelerating, but the company's stock is heading in the opposite direction. Shares slumped 8.32% on Friday to €0.1718, bringing the monthly decline to 33.80%. The selling has been so sustained that the 14-day relative strength index has dropped to 29.9, a reading that typically signals oversold conditions.

Still, the longer-term picture tells a very different story. The stock has gained 89.62% since the start of the year and a staggering 276.75% over the past twelve months. The current correction looks less like a fundamental breakdown and more like a breather after an extraordinary rally.

Merger Mechanics Firm Up

On July 3, both European Lithium and Critical Metals Corp. issued an update confirming that their planned merger remains on track. The deal structure has seen minor adjustments but the timetable is intact. Critical Metals will acquire all shares and listed options of European Lithium, with exiting European Lithium shareholders set to hold approximately 41% of the combined entity. The exchange ratio is fixed at 0.035 Critical Metals shares for each European Lithium share.

The binding agreement targets completion in early September 2026. A formal scheme booklet — the document detailing the transaction for shareholder approval — is expected to be dispatched in late July or early August. Shareholders and option holders will then vote on the deal before the planned closing.

Should investors sell immediately? Or is it worth buying European Lithium?

For smaller investors there is a new option: those holding 50,000 shares or fewer can elect to receive cash via a sale facility instead of Nasdaq-listed shares in Critical Metals. This simplifies the process for smaller portfolios.

Wolfsberg Remains the Prize

At the heart of the merger is European Lithium's Wolfsberg lithium project in Austria. The company positions the site as a future supplier of battery-grade lithium hydroxide to Europe's rapidly expanding battery manufacturing sector. With the continent striving for greater supply chain independence, local access to lithium is becoming increasingly strategic.

European Lithium also holds early-stage exploration rights in Ireland and Ukraine, though these ventures contribute little to current valuation. The logic behind combining with Critical Metals is to gain the capital and resources needed to accelerate development of these assets.

Sector Headwinds from Sodium-Ion Technology

While European Lithium's corporate future is being decided, the broader lithium sector is grappling with a fresh technological challenge. On July 16, battery giant CATL announced a memorandum of understanding with European energy utility Alfen NV to deploy sodium-ion storage systems in Western Europe, targeting 5 gigawatt-hours of capacity from 2027.

Investors are watching closely because large-scale sodium-ion deployment could reduce the storage industry's dependence on volatile lithium prices, potentially undercutting demand for lithium in stationary energy storage applications.

European Lithium at a turning point? This analysis reveals what investors need to know now.

Chart Levels to Watch

The stock's 30-day annualised volatility stands at 83.61%, underscoring the nervousness surrounding the shares. Technically, the stock is trading just above its 200-day moving average of €0.1635, a level that chartists often view as a key support. The 50-day moving average at €0.2482 sits well above the current price and now acts as resistance.

With a market capitalisation of roughly €352.83 million, European Lithium's near-term trajectory hinges on the shareholder vote. Once the scheme booklet lands and the uncertainty around the transaction diminishes, the stock could find firmer footing. Until then, volatility is likely to remain the defining feature.
