Gerresheimer's Balancing Act: Accounting Cleanup and Debt Deadline Define Recovery Path
Published on 07/19/2026 at 16:12 | Redaktion boerse-global.deGerresheimer has clawed its way back from the brink. The pharmaceutical and cosmetics packaging group's stock has surged nearly 95% from the February 2026 low of €14.90, closing last Friday at €28.96 — a 13.75% gain over the past 30 days. Yet that rally tells only half the story. The shares still trade 41% below the 52-week high of €49.40 set in July 2025, underscoring just how much ground remains to be regained.
The company's recovery rests on two parallel tracks. On one side, the long-awaited publication of a fully audited balance sheet for fiscal 2025 has lifted a cloud that hung over the stock for months. Revenue came in at €2.321 billion, up 16.6% including the Bormioli Pharma acquisition, while adjusted EBITDA reached €384 million. That testiertes Ergebnis ended an internal probe into bill-and-hold revenue recognition practices that had paralyzed the company through 2024 and 2025.
On the other, Gerresheimer has already signaled that the current fiscal year will be a slog. The 2026 outlook was trimmed: revenue is expected to land in the lower half of the previously guided €2.3-2.4 billion range, with an adjusted EBITDA margin between 17% and 18%. More tellingly, free cash flow is projected to swing to negative €50 million to €100 million, partly due to reduced factoring volumes. That cash drain makes debt reduction an urgent priority.
The twin pillars of the deleveraging effort are the sale of U.S. subsidiary Centor Inc. and ongoing refinancing talks with creditors. Centor, put on the block in February, has drawn strong interest from multiple potential buyers, and management expects a deal to close before the end of fiscal 2026. The proceeds are earmarked to pay down debt and strengthen the balance sheet.
Should investors sell immediately? Or is it worth buying Gerresheimer?
Meanwhile, the company has secured breathing room from its Schuldschein lenders. Ninety-six percent of note holders, representing €870 million in volume, agreed to extend maturities until September 30, 2026. The credit negotiations, which also involve other lenders, have made progress in recent weeks, and the deadline gives Gerresheimer until autumn to complete the Centor sale and refinance remaining obligations.
Operationally, Gerresheimer is moving to stabilize margins under its "gto" transformation program. A new photovoltaic installation at the Pfreimd site aims to boost energy self-sufficiency, while the "Digital Mold" technology has been introduced in the medical technology unit to accelerate tool development. The company also published its first voluntary sustainability report aligned with the CSRD directive in early July. Uwe Röhrhoff continues as interim CEO, having taken over from Dietmar Siemssen in late October 2025.
The market's reaction has been cautiously optimistic. The stock now trades comfortably above both its 50-day moving average of €26.91 and its 200-day line of €24.56 — a technical signal that the medium-term trend has turned positive. Several analysts raised price targets after the second-quarter numbers, though LBBW cautioned that the move was more a revaluation of the previous low base than a reflection of renewed growth. Berenberg still has a target of €24.00, a level the stock has already exceeded.
Gerresheimer at a turning point? This analysis reveals what investors need to know now.
A lingering takeover rumor continues to hover in the background. Reuters and FINANCE Magazin reported in March that U.S. packaging group Silgan Holdings had considered an offer of €41.00 per share. Neither party has confirmed the approach, and the narrative has since shifted squarely to the accounting cleanup and balance sheet repair.
Two dates now dominate the calendar. The annual general meeting, postponed to September 1, 2026, will give investors a chance to grill management on the audit findings and the turnaround strategy. Less than a month later, on September 30, the creditor extension expires — a hard deadline that will test whether the Centor sale and refinancing can be wrapped up on time. The third-quarter earnings report, due before that, is likely to provide the first real evidence of whether the operational stabilization seen in Q2 is sustainable, or whether financial pressures will tighten anew.
