A decisive vote from its lenders has handed German packaging specialist Gerresheimer a critical lifeline, sparking a dramatic share price rally. The company announced that 96% of its creditors, representing €870 million in debt, approved an extension for filing its audited 2025 accounts. The new deadline is the end of September 2026, though CFO Wolf Lehmann aims to publish the report as early as June.
This agreement suspends key financial covenants until the end of the third quarter of 2026, effectively removing the immediate threat of lenders calling in their loans due to delayed reporting. The market's response was emphatic: shares surged nearly 20% to €21.14 on the news Thursday, climbing a further 2.5% to around €21.66 on Friday. This pushed the stock back above the €20 mark for the first time in April.
Despite the rally, the company's profound challenges remain. The delay stems from parallel investigations into its accounting. Germany's financial watchdog, BaFin, initiated a balance sheet audit in September 2025 and expanded it in February 2026 over suspected breaches of accounting rules. Alongside its regular auditor KPMG, a second firm, Grant Thornton, is now examining business transactions from 2024 and 2025.

The consequences of this turmoil are mounting. Gerresheimer is expected to be ejected from the SDAX index, and its Annual General Meeting, originally scheduled for June 3rd, has been cancelled with no new date set. Central to management's recovery plan is the divestment of its US subsidiary, Centor Inc. The company reports a double-digit number of interested parties for the business, acquired roughly a decade ago for $725 million. A sale is targeted before year-end. The proceeds are crucial for addressing the core financial burden: net debt of approximately €1.2 billion.
Analysts suggest a successful Centor sale could fundamentally alter the investment case. They project a 2026 price-to-earnings ratio of around 13.5, which could fall to about 7.3 by 2027 if the restructuring succeeds. Management, led by CEO Uwe Röhrhoff who took office in November 2025, states that current 2026 business development is in line with expectations, with a solid order book.
The path forward now hinges on two deliverables: concluding the Centor sale and delivering the audited financial statements by June. These will test whether the current rally marks the beginning of a genuine turnaround or merely a temporary respite.
