A wave of relief swept through Gerresheimer AG on Thursday as the packaging specialist secured overwhelming support from its creditors, temporarily suspending key debt covenants and buying critical time to resolve a protracted accounting scandal. The Düsseldorf-based company's shares surged over 13% on the news, though significant hurdles remain on its path to recovery.

The agreement, announced via an ad-hoc release, saw 96% of noteholders approve an extension for submitting the audited 2025 financial statements. The new deadline is now September 30, 2026. In a parallel move, banking partners also agreed to the extension. Crucially, financial covenants related to the group's leverage ratio have been suspended until the end of the third quarter of 2026. This removes banks' extraordinary right of termination, which could have been triggered by a breach of these terms, until the end of August.

This lifeline addresses the immediate pressure stemming from delays caused by complex internal investigations into business transactions from 2024 and 2025. The German financial regulator, BaFin, accused the company of accounting errors last autumn. An independent law firm subsequently identified that revenues from so-called bill-and-hold agreements had been systematically recognized too early, a clear violation of IFRS rules. The ongoing audit is therefore taking significantly longer.

Despite the formal extension, Gerresheimer's management still aims to publish the certified annual report in June 2026, ahead of the contractual deadline.

Should investors sell immediately? Or is it worth buying Gerresheimer?

To repair its strained balance sheet, the company is aggressively pursuing the sale of its US subsidiary, Centor Inc. Morgan Stanley is managing the sale process for the division, acquired eleven years ago for $725 million. Initial interest appears strong, with more than ten potential buyers already examining a purchase. Gerresheimer intends to finalize the transaction within this year.

Centor, a provider of packaging systems for prescription drugs, is a key asset. With a book value of 292 million euros at the end of 2024, it is considered the group's most profitable segment. Its sale is a strategic necessity to stabilize the overstretched capital structure and reduce net financial debt, which recently stood at approximately 1.2 billion euros.

The market's immediate reaction was decisively positive. The stock jumped 13.02% to 19.96 euros, decisively breaking through its 50-day moving average at 19.38 euros. This rally offers a stark contrast to the stock's dismal performance over the past year, which has seen it lose about 65% of its value. The company was formally removed from the SDAX index on April 10, 2026, after missing a four-month deadline to file its annual report.

Further financial strain comes from non-cash impairment charges of 220 to 240 million euros, primarily related to technology projects at Sensile Medical AG and assets of Gerresheimer Moulded Glass Chicago Inc.

Gerresheimer at a turning point? This analysis reveals what investors need to know now.

Looking ahead, the company's revenue forecast for 2026 of 2.3 to 2.4 billion euros remains conditional. It is contingent upon the successful conclusion of bank negotiations and the resolution of BaFin's objections. The half-year report is scheduled for July 14, 2026.

For now, the twin milestones of a completed Centor sale and the delivery of the audited financials by June represent the next concrete tests. Success on both fronts is essential for Gerresheimer to regain lasting investor confidence and demonstrate its restructuring is truly gaining traction.
