Global Allies Throw Weight Behind Arafura's Nolans as First A$175.5 Million Tranche Settles

Arafura Rare Earths has closed the first leg of a two-part capital raising, collecting A$175.5 million to fund what will be Australia’s first fully integrated rare earths processing facility. The money, raised by placing 675 million new shares at A$0.26 apiece — a 16.1% discount to the last closing price before the deal was announced — begins trading on the Australian Securities Exchange tomorrow.
The equity injection is part of a broader A$350 million capital raise split across two tranches. The second tranche, worth A$174.5 million, requires shareholder approval at an extraordinary general meeting scheduled for July 2. A retail entitlement offer running from June 3 adds a further A$25 million, priced at the same level as the institutional placement.
Once both tranches are complete, Arafura’s pro-forma liquidity is expected to reach approximately A$1.34 billion, fully covering the equity portion required for the A$1.6 billion Nolans project in the Northern Territory.
Hancock Prospecting Deepens Its Bet
Gina Rinehart’s Hancock Prospecting remains the single largest backer, contributing A$85 million across the two tranches. Upon finalisation, the mining group will hold roughly 17.5% of Arafura’s enlarged share capital.

Government co-investment is also in play. Australia’s National Reconstruction Fund and Export Finance Australia have committed alongside the German raw materials fund operated by KfW. Total fiscal backing for Arafura had reached A$1.2 billion as of April.
Quad Alliance Provides the Strategic Backdrop
The capital raise comes as Arafura gains prominence within a coordinated Western push to secure critical mineral supply chains. On May 26, the Quad alliance — comprising Australia, the United States, Japan, and India — pledged up to US$20 billion in public and private capital to strengthen the entire lifecycle of critical minerals, from extraction to recycling. The goal: diversify sources and reduce market volatility.
Two days later, Australia’s Resources Minister Madeleine King highlighted Arafura as a direct beneficiary of the country’s Critical Minerals Strategic Reserve, which is itself part of the Quad framework. The reserve provides offtake agreements that underpin project finance.
Nolans: From Final Investment Decision to First Output
Arafura took its final investment decision for Nolans on May 21, clearing the way for construction. Work on the mine is set to begin in September 2026, with a refinery to be built in Alice Springs. Engineering and construction management will be handled by Hatch.
The project is designed to process ore on site into neodymium-praseodymium oxide, a key ingredient for permanent magnets used in electric vehicles and wind turbines. Annual output is pegged at 4,440 tonnes of NdPr oxide, enough to capture about 5% of global demand. First deliveries are expected by mid-2029 after a 30-month build phase. The deposit has a projected mine life of 38 years, and its total economic contribution is estimated at A$25.2 billion.

Regional Momentum, Shareholder Hurdle
Nolans is being hailed as a catalyst for a mining renaissance in the Northern Territory. Royalties from mineral production are forecast to reach A$388 million in fiscal 2025/26, representing more than 23% of the territory’s own-source revenue. Arafura’s progress is a major driver of that uplift.
On the ASX, the company’s shares closed at A$0.265 on May 28, giving a market capitalisation of roughly A$1.25 billion. The next test for management is the EGM on July 2, where retail and institutional shareholders alike will decide whether the second A$174.5 million tranche gets the green light. The funding is in place; now the vote must follow.
