Nebius Blends Asset-Light Model With Nvidia's Stake and a $775M Loan to Ease Capital Fears

Nebius is fighting the perception that its AI cloud ambitions are a cash bonfire. On Tuesday, the stock jumped 6.47% to €170.38, snapping a 30-day slide of 31.41% that had wiped out a chunk of the year's gains. The trigger wasn't a single piece of news but a barrage of structural moves: Nvidia disclosed a 9.3% economic stake, the company secured a $775 million loan backed by its own GPUs, and management rolled out an asset-light partnership model designed to offload future capital expenditure onto third parties.
The asset-light pivot is the most significant shift. Instead of borrowing or issuing equity to fund every new megawatt of GPU capacity, Nebius will now license its software, hardware architecture, and customer relationships to partners who build, own, and finance the data centers themselves. CEO Arkady Volozh described the model as a flexible way for infrastructure owners to tap into AI demand without shouldering the entire technology stack. For Nebius, the move addresses the single largest overhang on its stock: the fear of endless dilution and debt to keep pace with hyperscale expansion.
That capital concern had been reflected in the stock's extreme volatility. With an annualized 30-day volatility of 105.72%, Nebius trades more like a highly leveraged bet on the viability of the AI infrastructure buildout than a typical tech company. The new partnership model aims to decouple growth from Nebius's own balance sheet, preserving margin from software and services while pushing concrete, power contracts, and balance-sheet risk onto partners.
The company is not abandoning debt entirely. On July 17, it closed its first secured credit facility worth approximately $775 million, backed by in-service GPU infrastructure and contractually fixed cash flows from an investment-grade client. MUFG served as sole bookrunner and the facility matures on October 31, 2030, priced at SOFR plus 2.50%. Nebius also noted that it has more than $40 billion in contracted additional business from large customers including Microsoft and Meta, which could underwrite further similarly structured loans.

The chipmaker reported a 9.3% beneficial ownership in Nebius, composed of 1.19 million direct shares and 21.065 million shares underlying warrants received in March 2026. Although Nvidia cannot formally exercise the warrants until September 11, 2026, the short exercise window after July 13, 2026, means the holding already counts as economic ownership. Analysts at Northland Securities responded by raising their price target to $410 from $248 while maintaining an "Outperform" rating, a move that implies significant upside from Tuesday's €170 level.
Still, the stock's technical picture is messy. It closed Tuesday 14.16% below its 50-day moving average of €198.49, though it remains 42.19% above its 200-day average of €119.83. The relative strength index sits at 43.7, suggesting that the selling pressure has largely faded but not yet turned into a buy signal. Since the start of the year, Nebius is up 117.71%, and over the trailing 12 months it has surged 280.31%. Yet the stock has lost more than a third of its value from the late-June high of €261.00, and its July 2025 low of €43.40 feels like a different era.
Investor skepticism is not entirely misplaced. Insider sales over the past three months total roughly $141.8 million, a counterweight to the positive headlines. And the asset-light model carries its own execution risk: partners themselves must secure financing to build out capacity, and if the model fails to scale, the old dilution and debt fears will resurface immediately. The entire neocloud sector remains acutely sensitive to any hint of overcapacity or funding stress among hyperscalers.
