The race to build the physical backbone of artificial intelligence demands more than just ambition – it requires capital, credibility, and a business model that can scale without crushing the balance sheet. Nebius, the Amsterdam-based neocloud provider, is assembling all three in quick succession. The latest validation: Nvidia has formally disclosed a 9.3% stake in the company, signaling a deepening partnership that goes well beyond chip supply.
Nvidia’s holding comprises 1.19 million direct shares and roughly 21.07 million shares underlying warrants granted in March. The warrants cannot be exercised or sold before the lock-up expires on 11 September 2026, though they count as beneficial ownership because they become technically exercisable within 60 days after 13 July 2026. Market watchers interpret the structure as a deliberate strategic commitment rather than a passive financial bet.
The market reaction was immediate but restrained. Nebius shares surged as high as €171.62 on the day of the disclosure, a gain of roughly 7%, before closing at €160.02 – up 2.89%. That still leaves the stock 34.25% below the record high of €261 reached in late June. The annualised 30-day volatility stands above 106%, underscoring the hair-trigger sentiment that has punished the equity even as the underlying business accelerates.
Capital stacked for expansion
Nvidia’s endorsement is not the only financial pillar. On 17 July, Nebius secured its first secured credit facility: a $775 million loan backed by deployed GPU infrastructure and contracted cash flows from an investment-grade customer. MUFG structured the deal and acted as sole bookrunner. The facility runs until 31 October 2030 and carries an interest rate of SOFR plus 2.50 percentage points. Nebius chief operating officer Ophir Nave called it a “critical building block” for faster scaling.

That loan complements an already bulging order book. Nebius has now locked in more than $40 billion in contracted business with large clients including Microsoft and Meta. The Meta deal alone is valued at $27 billion, and a separate agreement with Reflection AI adds another $1 billion in compute capacity. In the first quarter of 2026, revenue hit $399 million – a year-over-year surge of 684%. The company is scheduled to report second-quarter results on 28 or 29 July.
Beyond heavy metal: the asset-light pivot
Nebius has also introduced a new operating model that could ease the capital intensity of its buildout. Rather than owning every data centre outright, it will now license its AI cloud platform to infrastructure partners, who run the hardware in their own facilities while Nebius provides the architecture, hardware design, and software. The capacity is then marketed and sold by Nebius. Founder and CEO Arkady Volozh describes the approach as a flexible way for partners to “ride the wave of AI demand without putting up the capital themselves.”
The company’s own capacity targets remain enormous: more than 5 gigawatts by 2030. The capital stack – Nvidia’s strategic equity, the secured loan, and the asset-light model – is designed to fund that expansion without excessive dilution.

Analyst confidence meets insider caution
Northland Securities responded to the Nvidia news by hiking its price target for Nebius from $248 to $410, reiterating an Outperform rating. That implies significant upside from the current €160 level. The stock has still quadrupled from a year ago, despite a 35.58% tumble over the past month.
One discordant note: insiders have sold roughly $141.8 million worth of Nebius shares over the past three months. Those disposals run counter to the bullish corporate news flow, though they do not alter the strategic trajectory. The real test comes in the next few days, when second-quarter earnings will either confirm that the revenue momentum is accelerating or reveal whether the announcements are outpacing execution.
