The numbers coming out of Ondas Holdings tell two sharply different stories. On one hand, the company has booked more than $110 million in new orders during the second quarter — over $30 million of that landed in May alone — and its backlog hit a record $457 million at the end of March. On the other, shareholders have just authorized a hefty increase in the number of available shares, creating a dilution risk that sits uneasily alongside the company’s giant cash pile and its rapid pivot toward defense software.

The order surge is concentrated in the hottest corners of the global arms market: air defense, counter-drone systems, loitering munitions and robotic platforms. The first quarter of 2026 already provided a taste of what is to come: revenue of $50.1 million, far ahead of the year-ago period, while net income swung to $361.3 million from a loss a year earlier — a radical reversal that pushed the company’s cash and investments to roughly $1.48 billion. Management is sticking to its full-year 2026 revenue target of at least $390 million and has moved the goal for adjusted EBITDA profitability forward to the first quarter of 2027.

That software transition lies at the heart of the bull case. With the integration of Israeli AI specialist Omnisys now complete, Ondas has remade itself from a supplier of drones and radio networks into a software-driven defense conglomerate. Its new platform, SkyWeaver, orchestrates air defense, reconnaissance and autonomous ground operations from a single operating system. The strategic shift has not been lost on the market: the stock vaulted roughly 44% in the past week, bringing its 12-month gain to over 1,140%. The 50-day moving average of €8.61 was left firmly in the dust.

Yet the euphoria faces a structural counterweight. At the annual meeting in late May, stockholders approved raising the number of authorized common shares from 800 million to 1.2 billion. The equity incentive plan was bumped up from 61 million to 81 million shares. That gives the company additional firepower for future financing and employee retention, but it also introduces considerable dilution potential. A shelf registration of $29 million has already stirred debate, even though Ondas already sits on a billion-dollar cash hoard. The liquidity position — $1.48 billion — is meant to finance the integration of Omnisys and World View Enterprises and to expand production capacity.

The options market is sending a mixed read on the stock. The put-call ratio stands at 0.27, indicating a clear preference for call options, but the skew on puts has been rising — some traders are hedging against a near-term pullback. On Friday, the stock closed at €11.30, down 0.7% on the day but still up sharply for the week. Trading volume topped 141 million shares, signaling that the market is digesting the news intensely. Analysts at Oppenheimer and Needham have set price targets between $16 and $23.

Technically, the shares are well above both the 50- and 200-day moving averages, though the relative strength index of 32.7 suggests the rally has cooled rather than overheated. Market capitalisation hovers around $6.6 billion to $6.7 billion, leaving the stock just 6% shy of its 52-week high of €12.04.

External tailwinds may also be gathering. US authorities are reportedly exploring direct financial support for domestic drone manufacturers — potentially through equity or debt participation. If such a programme materialises, Ondas would be a prime beneficiary, adding a structural advantage to its already-strong momentum.
