Redwood AI is completing a strategic U-turn that swaps its artificial-intelligence chemistry platform for a future in quantum-resistant cybersecurity, but the all-stock acquisition of Quantum.IQ Technologies remains conditional on regulatory sign-offs and performance targets. The company’s inclusion in the CSE25 index this week has done little to calm traders, as a 14?day RSI of 24.8 signals heavy overselling and the stock languishes at €1.78 – barely moved from the prior week.

The deal, targeted to close on 10 July 2026, reflects a White House directive issued in late June that orders all US federal agencies to adopt quantum-resistant encryption by 2030 and digital signatures by 2031. Redwood is betting that its entry into this regulated market will more than offset the immediate cost of the transaction, which is funded entirely through new equity. Up to 14,033,558 common shares will be issued at an implied value of roughly US$2.98 each, diluting the existing base of about 37.3 million shares by nearly 38 percent.

The first tranche of just over 7 million shares will be delivered immediately at closing, while a second batch of roughly 7 million shares is contingent on Quantum.IQ hitting revenue, customer count and EBITDA milestones. An independent intermediary will receive a finder’s fee of nearly US$300,000, paid in 100,000 additional common shares. These conditions mean the sellers have a direct incentive to keep the target’s performance on track long after the initial handover.

Despite the index promotion and the strategic rationale, the market has greeted the news with extreme nervousness. The annualised 30?day volatility has surged to 208.69 percent, and the stock has been unable to recover ground even as the broader quantum?security narrative gains traction. Management has warned that the deal could collapse if any material adverse change occurs at either company before the final closing date.

Completion still hinges on approval from the Canadian exchange regulator and the execution of a binding trust agreement. Without those steps, the expansion into quantum-resistant security remains theoretical. For now, Redwood AI finds itself straddling two worlds – a legacy drug?discovery business that made its name and a high?stakes pivot that could redefine its future, provided the paperwork and the performance milestones align.
