Of those, 7,033,558 are base shares, while up to an additional 7 million shares are tied to milestones related to customers, revenue, and EBITDA. The strategic rationale is clear: combining Quantum.IQ's machine learning algorithms with Redwood AI's existing platform would extend the company beyond pharmaceutical research into high-security infrastructure for government and defense clients, adding quantum-safe cybersecurity, cryptographic intelligence, and security modernization capabilities.

The fresh $3.5 million provides some breathing room, but it is the outstanding regulatory approvals that will determine whether Redwood AI can close the Quantum.IQ deal and begin the long process of restoring investor confidence.
