A single US institutional investor has stepped in to provide Redwood AI Corp. with up to $3.5 million in fresh capital, purchasing 1,663,000 special warrants at $2.11 each. The transaction, which closed on July 21, came just two days after the company’s shares scraped a new 52-week low — a timing that has done little to reassure a market already fixated on dilution risks.
Maxim Group LLC acted as the exclusive placement agent on the deal. Each special warrant automatically converts into one unit comprising a common share plus an additional warrant to purchase another share. The pricing was set on July 17, with the close following four days later. Redwood plans to channel the proceeds into working capital and general corporate purposes.
The capital injection arrives alongside a regulatory filing: Redwood has submitted a preliminary base prospectus to Canadian securities regulators. Once final approval is secured, the company intends to file a prospectus supplement governing the issuance of units underlying the special warrants.
Shares Sink Despite Cash Infusion
The financing has failed to arrest the stock’s decline. On the day of closing, shares touched €1.06 — a fresh 52-week trough. The stock currently trades at €1.10 in pre-market activity, a marginal 0.91% gain from Wednesday’s close but still just 3.76% above that floor. Over the past week, the equity has shed 28.71%, while the one-month decline stands at 36.86%. From an April peak of €6.66, the stock has cratered more than 83%.

Compounding the pressure from the dilutive placement is a parallel corporate development: Redwood’s planned acquisition of Quantum.IQ Technologies Inc., based on a purchase agreement signed June 26 among Redwood, Quantum.IQ, and the target’s shareholders. The deal would push Redwood beyond its core business of using artificial intelligence to accelerate chemistry research for drug development and defense applications, into post-quantum cryptography, critical infrastructure protection, and enterprise resilience.
Completion remains contingent on a laundry list of conditions, including corporate, regulatory, and exchange approvals, the signing of a trust agreement, and the absence of material adverse changes at either company. The fresh working capital gives Redwood additional financial runway as it works through these hurdles, but the market appears focused on the here and now: a heavily diluted equity base and a stock that shows no signs of finding a bottom.
