The precipitous decline has been driven in large part by the structure of a $3.5 million private placement that closed its pricing on Friday.

Redwood AI issued 1,663,000 special warrants at $2.11 each to a single US institutional investor, with Maxim Group LLC acting as placement agent. That price sits nearly 79% above the Friday closing price of €1.18 — a gap that has unnerved investors already concerned about dilution. The proceeds are earmarked for working capital and general corporate purposes. The transaction is expected to close on July 20, subject to regulatory approval from the Canadian Securities Exchange, after which the special warrants will automatically convert into units consisting of one common share and one warrant to purchase an additional share. Once the final base shelf prospectus is filed, a supplement will be submitted to allow the units to trade, potentially adding to the supply of shares in the market.

The deal was initially slated to close on July 10, but Redwood has yet to confirm completion. The status update is still awaited, while overhanging conditions including internal, regulatory and exchange approvals remain pending.

The company’s attempt to expand into post-quantum cybersecurity and cryptographic security solutions through Quantum.IQ is central to its growth narrative. But with the acquisition deadline missed and no formal announcement forthcoming, investors are left weighing two overlapping uncertainties: the capital raise’s July 20 close and the fate of the Quantum.IQ transaction. At the current volatility levels, a smooth closing of either — or both — could trigger a sharp rebound, just as further delays could deepen the sell-off.

The CSE25 index addition may offer some institutional visibility, but it comes at a time of profound technical weakness. With the stock down more than four-fifths from its annual peak and a fresh batch of shares poised to enter circulation, the coming days will serve as a critical test of whether the current floor holds or gives way to additional downside.
