A penalty clause is embedded in the agreement: if Redwood fails to file a prospectus supplement within 90 days of the closing date — July 20 — the conversion ratio automatically increases to 1.10 units per special warrant instead of 1.0, effectively boosting the number of shares issued by 10% for each affected warrant.
