ServiceNow pitches AI governance with Nvidia and Anthropic backing, but CLSA and KeyBanc warn on valuation and pricing ahead of Q2 earnings.

ServiceNow: AI Agent Vision Faces Earnings Test Amid Analyst Divide

The narrative around ServiceNow is pulling in two directions at once. On one side, the software company is repositioning itself as the compliance and orchestration layer for enterprise AI agents, a vision that has earned endorsements from Anthropic and Nvidia. On the other, analysts at CLSA and KeyBanc are pointing to lofty valuations, rising costs, and pricing resistance among customers, setting the stage for a high-stakes earnings report on July 22, 2026.

That quarterly print will come after US market close, with consensus estimates calling for earnings per share of $0.86 on revenue of $3.93 billion. In the first quarter, ServiceNow posted a 22.1% revenue increase to $3.77 billion and EPS of $0.97, making the second-quarter bar a test of whether that momentum can hold under mounting competitive and pricing pressure.

The stock’s recent price action reflects the uncertainty. On Monday, shares closed at €92.22, a gain of 2.24% in a single session, bringing the month-to-date advance to 13.26%. Yet by the following trading day, the stock had slipped to €90.76, a decline of 1.58%, underscoring the volatility as traders weigh conflicting signals. The Relative Strength Index, which stood at 49.4 on that down day, has since edged to 51.7 — both neutral readings that leave room for a breakout or a breakdown.

Analyst Gridlock: A $140 Consensus Versus a $72 Floor

The analyst community is sharply divided. On the bearish end, CLSA initiated coverage on July 21 with an Underperform rating and a $72 price target, implying roughly 31% downside from where the stock was trading at the time. Analyst Bhavtosh Vajpayee cited high valuation, rising costs, and intensifying competition in the software market. KeyBanc reinforced the cautious view, maintaining its Underweight rating with a $85 target, and flagged that customers are rushing to lock in contract renewals ahead of a new pricing model that took effect July 1. That model, which introduces bundled package structures, could lead to annual price increases of more than 25%, according to KeyBanc.

Should investors sell immediately? Or is it worth buying ServiceNow?

On the bull side, DA Davidson has a Buy rating with a $170 target, Oppenheimer rates it Outperform at $140, and Truist recently lifted its target to $130 on the back of AI adoption. The consensus average sits around $139, supported by 32 to 43 buy recommendations against just one sell call. The wide spread between the highest and lowest targets — a $98 gap — illustrates the lack of agreement on how much of the AI narrative is already priced in.

The AI Governance Story Gathers Real Partners

While the near-term earnings debate focuses on price and margin, ServiceNow is pitching a longer-term transformation that it hopes will redefine its revenue base. The company has shifted its messaging from workflow automation to what it calls an “orchestration layer” for every AI agent, model, and action inside an enterprise. The strategy was laid out at its “Knowledge” conference, where CEO Jensen Huang of Nvidia referred to ServiceNow as “the operating system for AI agents in enterprises.”

The logic is straightforward: Only 44% of enterprise AI decision-makers trust agents to act autonomously, according to a ServiceNow-commissioned survey. The company aims to monetize that trust gap by selling governance tools that enforce permissions, maintain audit trails, and manage access — regardless of whether the agent runs on ServiceNow, Claude, Copilot, or a custom-built system.

Anthropic has signed on as the first design partner for the new “Action Fabric,” integrating its Claude Cowork assistant directly into ServiceNow’s platform. The partnership is a concrete validation of the cross-platform approach, as is the Nvidia endorsement. ServiceNow’s own AI specialist already resolves IT service desk cases 99% faster than human employees, and the city of Raleigh reports a deflection rate of 98% for internal requests. With 23 million employees using the portal monthly and over 40 million cases logged annually, 91% of which are handled without escalation, the operational proof points are building.

ServiceNow has set a target to double revenue to $30 billion within four years, largely by capturing spending on AI agent governance. The company completed the $7.75 billion acquisition of Armis in April and raised its AI-specific annual contract value goal to $1.5 billion.

Insider Sales and the Institutional Vote

Against the backdrop of strategic ambition, insider activity has been notable. Over the past 90 days, directors and executives sold a combined 28,071 shares worth roughly $2.53 million, including a director’s sale of 1,500 shares at $87.23 and a separate transaction of 8,927 shares at $89.60. Institutional ownership remains high at 87.18%, suggesting that large investors are maintaining their positions even as insiders take some profit.

For the current quarter, ServiceNow has guided for current remaining performance obligations growth of 19.5% on a constant-currency basis. Options markets are pricing an 11% to 13% swing in the stock after the earnings release — a clear sign that the outcome is far from certain. The upcoming report will either reinforce the bull case that AI governance is a new growth engine or validate the bears’ warnings that pricing headwinds and competitive pressure are eroding the underlying business. Either way, the next few days will offer a first real read on which narrative wins.
