Siemens Sets 2027 Healthineers Vote Amid Major AI Factory Push
22.04.2026 - 08:42:39 | boerse-global.deSiemens AG has locked in a definitive timeline for the separation of its medical technology unit while simultaneously accelerating its industrial artificial intelligence strategy, setting the stage for a transformative period. Shareholders will vote on the spin-off of Siemens Healthineers at the ordinary Annual Shareholders' Meeting in February 2027, the company confirmed.
The plan involves distributing 30 percent of Healthineers shares directly to Siemens shareholders via a spin-off under German transformation law. This move will see Siemens relinquish its controlling majority, initially retaining a significant minority stake with the stated medium-term goal of holding a purely financial investment. The company has pledged to continue its progressive dividend policy even after Healthineers is deconsolidated.
This strategic pivot coincides with a major technological offensive showcased at the Hannover Messe industrial fair. CEO Roland Busch issued a stark warning to European Union regulators, stating that the bulk of a planned multi-billion-euro budget for industrial AI could be diverted to the United States and China if the EU maintains its restrictive regulatory framework. German Chancellor Friedrich Merz has backed Siemens' position, with the federal government seeking to exempt industrial AI from the strictest EU rules.
On the technology front, Siemens unveiled a new "Industrial Automation DataCenter," a pre-configured system designed to bring AI computing power directly to the production line. Developed in partnership with NVIDIA and Palo Alto Networks, the solution aims to drastically cut deployment times that previously stretched up to 80 hours for installation alone. NVIDIA provides the computing hardware, while Palo Alto Networks secures the critical data streams in real-time.
Should investors sell immediately? Or is it worth buying Siemens?
The collaboration with NVIDIA extends beyond hardware into a blueprint for fully AI-controlled factories. The first pilot project is scheduled to commence in 2026 at Siemens' electronics factory in Erlangen. At that site, the company is already testing autonomous logistics, including a humanoid robot called "HMND 01" that performs real manufacturing tasks using NVIDIA's AI modules.
Siemens is concurrently bolstering its core industrial software business. The acquisition of life sciences R&D software provider Dotmatics has been finalized for an enterprise value of $5.1 billion. Dotmatics will be integrated into the Digital Industries software portfolio, marking a targeted expansion into the life sciences market.
One critical question remains unresolved regarding the Healthineers separation: whether the distribution of shares will be tax-free for shareholders. Siemens stated this issue will be clarified when full details are presented, acknowledging that a taxable distribution could cause short-term volatility. The February 2027 vote represents a delay from initial guidance, which had suggested concrete details might arrive by early Q2 2026.
Siemens at a turning point? This analysis reveals what investors need to know now.
Financially, Siemens enters this period of change from a position of strength. The past fiscal year generated revenue of €78.9 billion with a net profit of €10.4 billion. The company's stock recently traded at €241.60, having gained more than 26 percent over the past twelve months, though it has seen little movement since the start of the year. Investors will gain further insight into current pressures, including tariff impacts and a softer China market, when Siemens reports its second-quarter results on May 7.
The Hannover Messe, where Siemens is demonstrating its new AI systems, runs until April 24. The company's dual focus on corporate simplification and technological ambition underscores a strategic effort to sharpen its focus and capitalize on the next wave of industrial automation, even as it navigates complex regulatory and execution challenges.
