The shares closed at €3.55 on Wednesday, down 65.34% from the 52-week high of €10.23 reached on June 3. Over the past 30 days the decline stands at 58.28%, with a 14.55% drop in the last week alone. The annualized 30-day volatility of 154.15% underscores the extreme uncertainty surrounding the name.
Restatement Reshapes the Financial Picture
The tumult began when Sivers initiated an audit uplift to meet the standards of the US Public Company Accounting Oversight Board — a prerequisite for its planned Nasdaq dual-listing. The review forced management to shift revenue between reporting periods, revalue inventories, and write down capitalized development costs. The result: a restated net loss for fiscal 2025 of approximately 223 million Swedish kronor, far deeper than originally reported.
The restatement has also pushed back the financial calendar. The second-quarter 2026 interim report will now be released on August 27, 2026, with the third and fourth quarter reports scheduled for November 26, 2026 and February 25, 2027 respectively.

Capital Actions Create Heavy Dilution
While the accounting overhaul forced a reckoning with past performance, two separate capital events have flooded the market with new equity. On June 30, Sivers executed a directed share issue raising roughly 700 million Swedish kronor at 57 kronor per share, an offering that was multiple times oversubscribed by Swedish and international institutional investors.
At the same time, lender Bootstrap Europe converted a $12 million convertible loan into approximately 22.8 million new shares. A separate convertible bond worth $17 million was also converted into fresh equity, as reported by other market sources. The combined dilution has injected a large overhang of shares onto the market, hammering the stock price despite the influx of new capital.
The funds from the capital raise are earmarked for expanding production capacity of indium-phosphide lasers and optical amplifiers used in AI data centers and LiDAR systems for autonomous driving. The bond conversions also help clean up the balance sheet ahead of the US listing.
Market Remains Sceptical
The technical picture offers little comfort to bulls. The 14-day relative strength index sits at 35.6, indicating bearish momentum while stopping short of the oversold threshold of 30. The stock trades well below its 50-day moving average of €6.15 and beneath the 100-day average of €3.83. In the US, the over-the-counter shares (SIVEF) fell 5.82% to $4.13 on Wednesday on volume of 2.01 million.
Market capitalisation currently stands at €1.14 billion, down sharply from the levels seen in early June.

Insiders Step In
Board members and the CEO bought shares on the open market in mid-July, a move widely interpreted as a vote of confidence in the long-term strategy. While these purchases cannot offset the immediate dilution, they signal that management sees value at current levels.
The company was added to the Nasdaq Stockholm index on May 23, and preparations for the full US secondary listing continue. The completion of the Nasdaq listing process is expected in the second half of 2026 or the first quarter of 2027.
Until then, the combination of accounting uncertainty and heavy share issuance will remain the dominant drivers of the stock’s trajectory. The first real test of the new narrative comes on August 27, when Sivers reports second-quarter results under the adjusted US accounting standards.
