Sivers Semiconductors shares clawed back some ground on Thursday, rising 3.4% to €3.72, but the modest gain does little to soften the scale of the damage inflicted over the past month. The stock has plummeted 49% in that period and sits 64% below its 52-week high of €10.23, reached on June 3. Even the 50-day moving average of €6.21 remains more than 40% out of reach, underscoring how deeply the sell-off has cut.

The slide has been driven by a confluence of events that have tested investor confidence. Two dilutive capital measures—a directed share offering and the conversion of a $12 million convertible note—have swelled the share count, while auditors have raised doubts about the company’s ability to continue as a going concern. At the same time, a broad downturn in the semiconductor sector has amplified the pressure. The annualized 30-day volatility has surged past 219%, a level that reflects the extreme uncertainty surrounding the stock.

Behind the turbulence lies a strategic pivot that is both ambitious and costly. Sivers is preparing for a dual listing on the Nasdaq in New York, a move that requires it to align its financial reporting with the stricter standards of the U.S. Public Company Accounting Oversight Board (PCAOB). That transition has forced the company to restate its consolidated results for 2024 and 2025, and has already pushed back its earnings calendar twice this year. The Q2 2026 report, originally due in May, will now be released on August 27, with Q3 and Q4 following on November 26 and February 25, 2027, respectively.

Should investors sell immediately? Or is it worth buying Sivers Semiconductors?

To shore up its balance sheet ahead of the U.S. listing, Sivers executed a directed equity issue of 12,280,701 new shares at SEK 57 apiece, raising approximately SEK 700 million through an accelerated bookbuild. The offering was multiple times oversubscribed, drawing both Swedish and international institutional investors. Days later, on July 3, lender Bootstrap Europe converted its $12 million convertible note into 22,847,044 new shares, diluting existing holders by a further 6.4%. The cash has been earmarked for restructuring and to meet the more rigorous audit requirements of a Nasdaq-bound company.

Management, led by CEO Vickram Vathulya, has framed the overhaul as a commitment to "highest balance-sheet accuracy" and enhanced internal controls. On the operational side, the company continues to target high-growth end markets: its specialised photonics and wireless solutions serve AI data centres, satellite communications and defence applications, areas where demand for energy-efficient laser and radio-frequency technology remains robust. So far, however, that narrative has failed to arrest the stock’s decline.

The next major catalyst falls on August 27, when the delayed second-quarter report will offer the first detailed look at whether the balance-sheet repair is translating into operational progress. Until concrete revenue milestones emerge, Sivers shares are likely to remain hostage both to company-specific news and to the broader mood in the semiconductor space.
