ASML Ties Executive Pay to Staff Sentiment While Buying Back €352 Million in Shares

ASML is pressing ahead on two fronts that rarely share a headline: the way it pays its leadership and the way it returns capital to shareholders. Chief executive Christophe Fouquet wants executive bonuses and long-term compensation components tied more closely to how employees experience the company, according to an internal memo reported by media outlets. In the same week, the Dutch chip-equipment maker disclosed the repurchase of 233,867 shares for a total of €352,032,719.

The buyback, announced on Monday, was executed between 12 and 16 October under the company's ongoing repurchase programme. No shares were bought on 14 October. The disclosure confirms purchases actually carried out rather than an intention to buy, and speaks to how ASML is deploying its capital — a separate question from how quickly it can ship equipment to customers.

A Workforce Signal That Carries Weight

More than 38,000 of roughly 44,000 employees took part in the annual staff survey, giving a broad read on morale after a substantial restructuring. The engagement index fell to 73.5%, down from 78% a year earlier. Six questions have also been combined into a new "Workplace Experience Index" capturing day-to-day experience at work.

Under the proposed mechanism, that feedback would feed directly into how executives are rewarded. The memo does not specify what share of compensation would be linked to it, so the financial weight of the plan cannot yet be quantified. What is clear is the direction of travel, not the detailed design.

The backdrop is a cost-cutting drive: in January ASML announced possible job cuts of 1,700, and later expected fewer redundancies than first planned. The survey decline and the restructuring form the context for Fouquet's move, though no causal link between them has been established.

Should investors sell immediately? Or is it worth buying ASML Holding?

Demand Outruns the Plan

The personnel initiative lands at a moment of heavy operational strain. According to Fouquet, customer demand for 2027 and 2028 exceeds planned supply, driven by investment in artificial intelligence and appetite for EUV systems. ASML is therefore examining additional capacity beyond its existing expansion plans, and customers are already enquiring about later delivery slots. Such enquiries are not formal orders and should not be equated with confirmed bookings.

Roughly two weeks ago the company raised its revenue guidance and announced an acceleration of production. The pay initiative adds an internal dimension to that agenda: management would in future also be measured on how staff experience their workplace.

Terafab: One Project, Not the Whole Picture

Reuters reported on Tuesday that Elon Musk said ASML and other suppliers had sped up equipment deliveries for Terafab, the SpaceX and Tesla joint venture targeting high-volume chip production in the third quarter of 2028. The remark concerns deliveries for that specific project. It is not a commitment by ASML to meet total expected demand, and the start of production remains a goal rather than a reached milestone.

ASML said on 14 October that its planned supply for 2027 and 2028 would not fully cover customer demand, and management is reviewing extra capacity for the later of the two years. Faster shipments to a single customer and the capacity warning are therefore consistent: individual deliveries can move ahead while overall planned supply stays behind demand.

The Numbers Behind the Noise

In the third quarter of 2026 ASML posted net sales of €11.662 billion and net profit of €4.960 billion. For the fourth quarter it forecasts net sales of €14.2 billion to €15.2 billion. Those figures describe business already booked, while the buyback notice evidences capital returned; the delivery and capacity comments concern how future demand will be served.

Two things will determine how the pay plan is judged: the still-unsettled weighting of employee feedback in compensation, and how the next survey develops. Only then will it be possible to gauge how firmly ASML delivers on the standard it has set itself.
