Atai Beckley's Exchange Presence Unwinds From Frankfurt to Mexico City After Eli Lilly Merger Closes
Published on 09/18/2026 at 09:32 | Editorial boerse-global.deThe corporate existence of Atai Beckley as a publicly traded entity is being dismantled market by market, following the completion of its absorption into Eli Lilly and Company. Mexico's BMV has suspended trading of the company's shares in its SIC Capitales segment and intends to seek authorization for a permanent delisting, according to media reports — a move that mirrors the earlier halt on the Nasdaq and underscores how a U.S. delisting cascades through secondary listings abroad.
The Mexican exchange's decision traces directly to the merger's execution. Albali Acquisition Corporation, an indirect Lilly subsidiary, has merged with Atai Beckley, which now operates as a wholly owned unit of the Indianapolis pharmaceutical giant. The transaction carried a value of as much as USD 3.8 billion, based on media accounts.
Shareholders had cleared the way at a virtual special meeting on September 8, approving the takeover agreement before the deal formally closed on the Friday of the following week. Once the merger became effective, Atai Beckley notified the Nasdaq of the completion and requested both a trading halt and the delisting of its common stock, alongside the filing of a Form 25 to strike the shares from the register and deregister them. A Form 15 submission is also planned to terminate the company's reporting obligations to the U.S. Securities and Exchange Commission.

Equity Awards Converted as Merger Mechanics Take Hold
The closing triggered changes in how outstanding employee equity is treated. Certain insider stock awards were cancelled and exchanged for cash payments and Contingent Value Rights — conditional instruments that are a familiar feature of acquisitions, used when variable compensation components must be carried into a new ownership structure. The company disclosed that the CFO's pending share allocations were among those annulled and swapped on these terms, a mechanism that also applied to executives and staff who held equity as part of their pay packages.
For investors who accessed Atai Beckley through the BMV, the suspension effectively ends tradability at that venue, assuming the delisting proceeds as announced. Securities traded on foreign platforms under secondary listings typically follow the regulatory fate of their primary market, meaning the Mexican halt was a procedural consequence rather than an independent development.
Institutional positioning from the weeks before the close now resolves at the value fixed in the takeover offer. BlackRock's disclosed stake, reported roughly a month ago, and the downgrades issued by individual research houses about three weeks back both belong to a chapter that has now closed — the analyst cuts had already signaled the approaching end of standalone trading, as price targets became increasingly tethered to the agreed takeover price as the process advanced.
With the merger complete, Atai Beckley continues as an integral part of Eli Lilly and Company, with no separate stock exchange listing of its own.
