The calendar keeps moving at a US courtroom pace, and for Bayer shareholders that means more waiting. A hearing tied to the proposed glyphosate settlement was postponed yet again on Friday, pushing the prospect of a definitive resolution to the Roundup litigation further into the distance. The market's response was muted but telling: the stock slipped 1.5 percent on Monday to close at EUR 49.15, a reminder that legal uncertainty still carries more weight with investors than operational progress.

That gap between the courtroom and the boardroom has defined Bayer's year. The shares have climbed 32.80 percent since January, powered largely by a string of favorable legal developments. The most significant came on June 26, when the US Supreme Court ruled that Bayer had no obligation to warn about cancer risks associated with Roundup. The stock jumped 19 percent that day, one of the sharpest single-session gains in the company's recent history. A fortnight ago, another court decision related to a potential glyphosate settlement added a more modest 1.6 percent advance.

Yet the latest postponement underscores how fragile that momentum can be. Monday's decline left the stock 8.74 percent below its 52-week high of EUR 53.86, reached in early July. The pullback suggests the rally that followed the Supreme Court victory has entered a consolidation phase, with investors weighing the possibility of further legal setbacks against the improving fundamentals.

Should investors sell immediately? Or is it worth buying Bayer?

Those fundamentals, at least, are heading in the right direction. When Bayer reported second-quarter results on Thursday, the numbers came in ahead of expectations. Adjusted EBITDA reached EUR 2.14 billion, while adjusted earnings per share of EUR 0.2735 comfortably beat the consensus estimate of EUR 0.2203. Perhaps more striking was the company's decision to lower its year-end net financial debt target to EUR 29-30 billion, down from the previously guided EUR 32-33 billion. For a company still carrying the financial weight of the Monsanto acquisition and its associated litigation, a shrinking debt pile signals growing flexibility — and potentially greater capacity to fund a settlement if one is eventually reached.

That combination of better-than-expected earnings and a firmer balance sheet gives long-term holders reason for patience. But the legal calendar remains the dominant variable. The next fixed point is September 14, when another significant hearing in the Roundup complex is scheduled. Details of what exactly will be addressed remain unclear, leaving the market to price the date as a risk marker with the potential for sharp moves in either direction.

The dual nature of Bayer's situation is hard to escape. Operationally, the signals are increasingly positive — earnings are rising, debt is falling, and the company has reaffirmed its full-year guidance. Legally, however, the pace is set by US courts, and that pace has proven anything but predictable. Each postponement feeds doubts about whether the parties can reach an agreement anytime soon, and Monday's price action suggests those doubts currently outweigh the encouraging quarterly numbers.

For now, investors are left watching two clocks: one tracking the company's improving financial metrics, the other counting down to September 14 — a date that could either extend the rally or test its resilience.
