Commerzbank: A Strike Call, a Nomura Fine and a Barclays Downgrade All Point to November 5

Verdi's decision to call nationwide warning strikes in private banking has put Commerzbank's Hamburg branches in the spotlight, with staff reportedly set to walk out for the full day on Monday, 26 October. For shareholders, the labour dispute is a fresh operational unknown — one that sits entirely apart from UniCredit's ambitions for the lender.

The walkout call covers private banks generally rather than Commerzbank alone, though Hamburg branches are explicitly named among the targets. An announced strike is not a completed one: what matters for the coming week is whether the stoppage actually goes ahead. Even a full-day absence, taken on its own, says nothing about the bank's earnings trajectory — but the fixed date turns the pay dispute into a near-term item on the equity story.

Three threads that must not be tangled

Investors are being asked to hold several developments apart. Industrial action touches day-to-day banking operations. UniCredit's designs touch the ownership structure. A strike announcement offers no new signal on how regulators will rule on the takeover.

The same discipline applies to a supervisory notice out of Frankfurt. Reuters reported that BaFin imposed a EUR 320,000 fine on Nomura on Tuesday over late voting-rights disclosures linked to Commerzbank in May and June. Nomura can appeal the decision. The penalty lands on Nomura, not on Commerzbank — Handelsblatt reported that the Japanese broker was supporting UniCredit in its Commerzbank build-up. That connection makes the news relevant; it does not convert the fine into a sanction against the target company.

Should investors sell immediately? Or is it worth buying Commerzbank?

A green light with strings still attached

The strategic backdrop remains the ECB approval reported roughly two weeks ago. According to UniCredit, it clears the way to cross the 30% threshold and to keep adding shares with no cap. UniCredit has said it expects the outstanding approvals around the turn of the year and roughly 50% of Commerzbank's voting rights thereafter. That is the company's expectation, not a stake already held — the permission opens room to act, while the acting itself and the remaining procedures are still pending.

Media reports suggest the European Commission will rule on the deal on 16 November 2026, a further checkpoint for the control plans. The ECB's blessing does not pre-empt Brussels.

Barclays shifts the yardstick to net interest income

On the operating side, Barclays turned more cautious on Wednesday. According to media reports, the house cut Commerzbank from "Overweight" to "Equal Weight" and trimmed its price target to EUR 41 from EUR 42. The analyst cited a weaker expected rise in net interest income and tougher deposit competition in Germany. The reticence concerns earnings power, not the state of UniCredit's approvals — no all-clear for the business can be read across from the stake-building story.

Commerzbank at a turning point? This analysis reveals what investors need to know now.

Friday's close of EUR 36.13 sat below the reduced Barclays target. That gap does not soften the fact that the broker has pulled back its recommendation; target and rating belong together, and the price alone would tell only half the story.

Two separate tests, one calendar

Commerzbank publishes third-quarter 2026 results on 5 November 2026, giving investors a chance to measure the business against the expectations Barclays has flagged. Two distinct yardsticks therefore frame the shares: operating earning power and the path of the control plans. A regulatory clearance is no substitute for hard numbers, and a single quarter will not settle the takeover's fate. Each has to convince on its own merits.
