Commerzbank is keeping its sights on returning roughly €3.2 billion to shareholders for the 2026 financial year, a target that rests squarely on its pledge to earn at least €3.4 billion in net profit. The bank reaffirmed both figures on Thursday, tying the capital distribution directly to its earnings plan rather than to any standalone balance-sheet decision.

A Record Nine Months

The lender's third-quarter net result came in at €859 million, up 45% year on year. Over the first nine months, net profit climbed 41% to €2.67 billion — a record for the period. Operating profit reached €4.04 billion after nine months.

Full-year revenue guidance was left at around €13.2 billion. The one number that moved was net interest income: Commerzbank now expects approximately €8.5 billion for 2026, down from its earlier forecast of about €8.6 billion, citing competition for deposits.

UniCredit: Subsidiary First, Merger Later

Chief executive Bettina Orlopp used the results day to flag the potential upside of a combination with UniCredit, telling Reuters she was confident the two banks could create value together. She expects the takeover offer to close in the coming months.

Cost and revenue improvements are the levers the bank has identified for any cooperation. Reuters reported Thursday that UniCredit is preparing a step-by-step integration: Commerzbank would first be consolidated as a subsidiary, with a merger into UniCredit's HypoVereinsbank arm possible at a later stage. Further regulatory approvals are anticipated in the fourth quarter of 2026 or, at the latest, the first quarter of 2027.

Analysts Split on the Price

The quarterly figures drew a mixed response from the research desks. RBC trimmed its price target to €39 from €41 on Thursday while keeping its "Sector Perform" rating — a change in valuation, not in conviction. Deutsche Bank Research stayed at "Hold" with a €42 target on Friday.

DZ Bank took a sharper turn, downgrading the stock from "Buy" to "Hold" on Thursday and cutting its fair value to €40 from €46. Commerzbank shares slipped 1.2% on Friday, the day after the results were published.
